XxxxxxCorporationIndonesiaxxxCorporationFrameworkAgreementforStrategicCooperationFrameworkAgreementforStrategicCooperationPartyA:Legalrepresentative:Contact:Address:Tel:Fax:E-mail:PartyB:xxxCorporation(xxxGroupSoleCo.,Ltd.),RepublicofIndonesiaLegalrepresentative:xxxxChairmanasRepresentativeContact:xxxAddress:Phone:(+62-xxx)xxxxxxxx(+62-xxx)xxxxxxxxE-mail:xxxxx@xxxx.comBasedonthebasicprinciplesofequality,voluntariness,mutualbenefit,andintegrity,aswellasthroughfriendlyconsultations,BothPartiesdecidetoestablishalong-termstrategicpartnership.InordertofullyexertPartyB’sresourcesadvantagesinIndonesiaandexpandPartyA’sconstructionprojects,trade,investment,andotherrelatedbusinessesinIndonesia,BothPartieshavesignedastrategiccooperationagreementandherebyagreetoabidebyit.I.GeneralProvisions1.1.Onthebasisofmutualbenefit,BothPartiesagreetoformalong-termstrategicpartnershipinordertofullyexertPartyA’sstrengthsinleadingthe“gointernational”platformforChongqingenterprisesandPartyB’sresourcesadvantagesinIndonesia,topromotePartyA’sinvestment,trade,constructionprojects,andotherareasofeconomicandtechnicalcooperationinIndonesia,andtofurtherenhancePartyA’smarketdevelopmentcapabilitiesinlinewithChongqing’s“gointernational”economicdevelopmentstrategy.1.2.ThisCooperationAgreementisaframeworkdocumentwhichoutlinestherightsandobligationsofBothPartiesinprinciple.AspecificbusinessagreementandcontractsignedbyBothPartiesshallbeestablishedinaccordancewiththeprinciplesofthisAgreement.1.3.SpecificbusinessundertheframeworkofthisCooperationAgreementshallbesetinaseparateindividualcontract.IfthereisanyinconsistenciesbetweenthisAgreementandtheindividualcontracts,thentheindividualcontractsshallprevail;MatterswhicharenotsetintheindividualcontractsshallbeapplicabletothisAgreement.II.StrategicCooperationMethodAccordingtothesituationofIndonesianmarketandPartyA’sdemand,PartyBshallrecommendtoPartyAconstruction,trade,investmentprojectsthatissuitableforPartyA,andassistPartyAinfollowingupthemarketresearch,informationgathering,feasibilityanalysisanddemonstrationrelatedtothespecificprojects,assistincontactingandcoordinatingwithrelevantgovernmentdepartments,othercompanies,andintermediaries,inordertofacilitatePartyAinfollowinguptheimplementationofrelatedprojects.Accordingtotheactualsituationoftheproject,PartyAshallpayservicefeetoPartyBinaccordancewithPartyB’sservicecontentsandthecontractforspecificprojectsagreedbyBothParties.OrBothPartiescanestablishajointventuretoinvestandmanagespecificprojectsanddistributetheprofitsaccordingtotheagreedproportion.Onthebasisofprojectcooperation,BothPartiescanalsosetupajointbusinessventureinaccordancewiththerelevantlawsandregulationsinIndonesiatofurtherdeveloptheIndonesianmarket.III.GeographicAreaofCooperationIndonesianregions;whentheconditionsareready,bymutualagreementofBothParties,theareacouldbeextendedtothesurroundingregions,i.e.Malaysia,Philippines.IV.ContentofCooperation4.1.ConsultationonInvestmentProjectsinIndonesia4.1.1.CollectinformationoninvestmentinIndonesiaforPartyA,assistinconductingtheIndonesianmarketresearchanalysisandinvestmentfeasibilitystudies,andusePartyB'sresourcestoacquireprojects.4.1.2.AssistPartyAincompletingthereviewandapprovalofinvestmentprojectsinIndonesiaandotherprocedures,coordinatingwithrelevantinstitutions,obtainingapprovalsfromauthorizedIndonesiangove...
