我国商业银行海外并购发展现状、问题及对策CurrentSituation，ProblemsandCountermeasuresofOverseasM&AofChineseCommercialBanks摘要自改革开放以来，我国商业银行便不断的走出国门，走向世界，业务范围也逐渐扩展到全球各地；改革开放后，中国逐渐实现了政策的战略转变，从早先的"欢迎外资"转向"向外国输出与引进"相呼应的政策，在此背景下，许多中国知名企业已开始拓展西洋市场并实施海外并购业务和海外投资项目，这敦促中国商业银行进行国际业务，倒逼我国商业银行在全球范围内发展海外业务，积极为我国开展海外业务的知名企业提供国际金融服务。这反过来也促进了商业银行海外并购业务的发展。本文主要论述了商业银行海外并购业务的开展不仅促进了我国商业银行的全球化经营水平，突破了贸易壁垒，扩展了自身的边界，实现了优势互补；而且有助于保持我国的金融体系的稳定，实现金融资源的循环利用和优化配置；促进了对外贸易，推动我国经济的可持续发展并加快与国际金融的接轨。在此基础上，通过文献分析法与案例研究法得出商业银行在在开展海外并购业务的过程中也面临着：1、我国商业银行并购业务盈利性弱且创新能力不足2、我国商业银行并购专业人才缺乏3、风险管理意识不强，风险管理体系落后4、我国商业银行海外并购面临众多风险等问题。针对这些问题提出了1、提高商业银行海外并购盈利能力与创新能力2、重视商业银行并购人才培养3、加强风险管理意识，优化风险管理体系4、改善并购业务的外部环境与提高海外并购后的整合能力等对策建议。关键词：并购；商业银行；金融体系；贸易壁垒CurrentSituation，ProblemsandCountermeasuresofOverseasM&AofChineseCommercialBanksAbstractSincethereformandopeningup,China'scommercialbankshavebeengoingoutofthecountry,totheworld,businessscopehasgraduallyexpandedtoallpartsoftheworld;Afterthereformandopeningup,Chinagraduallyrealizethestrategicshiftofpolicy,fromtheearlier"welcomeforeigninvestment"to"toforeignoutputwiththeintroductionof"echoofpolicy,inthiscontext,manywell-knownenterprisesinChinahavebeguntoextendthewesternmarketandimplementationofoverseasmergersandacquisitionsandoverseasinvestmentprojects,whichurgedthecommercialbankofChinawithinternationalbusiness,ItforcesChinesecommercialbankstodevelopoverseasbusinessgloballyandactivelyprovideinternationalfinancialservicesforfamousChineseenterprisesthatstartoverseasbusiness.ThisinturnpromotesthedevelopmentofoverseasM&Abusinessofcommercialbanks.ThedevelopmentofoverseasM&AbusinessofcommercialbanksnotonlypromotestheglobaloperationlevelofChinesecommercialbanks,breaksthroughtradebarriers,expandstheirboundariesandrealizescomplementaryadvantages;Moreover,itishelpfultomaintainthestabilityofChina'sfinancialsystemandrealizetherecyclingandoptimalallocationoffinancialresources.Ithaspromotedforeigntrade,promotedthesustainabledevelopmentofChina'seconomyandacceleratedtheintegrationwithinternationalfinance.Onthisbasis,throughliteratureanalysisandcasestudymethod,itisconcludedthatcommercialbanksarealsofacedwiththefollowingproblemsintheprocessofcarryingoutoverseasM&A:1.China'scommercialbanks'M&Abusinessisweakinprofitabilityandlackofinnovationability;2.4.China'scommercialbanksarefacedwithmanyrisksandotherproblemsinoverseasm&a.Inviewoftheseproblems,countermeasuresandsuggestionsareputforward,suchasimprovingtheprofitabilityandinnovationabilityofoverseasM&Aofcommercialbanks,attachingimportancetothecultivationofm&atalentsofcommercialbanks,strengtheningtheawarenessofriskmanagementandoptimizingtheriskmanagementsystem,improvingtheexternalenvironmentofM&AbusinessandimprovingtheintegrationabilityafteroverseasM&A.KeyWords：MergersandAcqui...
