本科论文摘 要随着我国社会经济的快速发展，各个行业之间普遍存在股权并购现象。对赌协议在企业股权并购中的应用也越来越多，对赌协议的应用一方面促进了企业股权并购的进程。与此同时也给企业股权并购带来部分消极影响，本文以对赌协议在企业股权并购中的应用研究为论文题目进行分析。首先分析在企业股权并购中起到的积极作用与消极作用，其次分析在国内外企业股权并购中的应用，并采用案例分析的方法进行研究，最后提出对赌协议在企业股权并购应用中需要注意的几点事项，促进对赌协议在企业股权并购中的应用。关键词：对赌协议，股权并购，应用研究本科论文AbstractWith the rapid development of China's social economy, there is a widespread phenomenon of equity mergers and acquisitions among various industries.The application of gambling agreement in enterprise equity acquisition is also more and more, on the one hand, the application of gambling agreement promotes the process of enterprise equity acquisition.At the same time, it also brings some negative effects to the merger and acquisition of enterprise equity.
