信托表决协议中英文对照VOTINGTRUSTAGREEMENTAnagreementmadethis________dayof_______________,(year)___,betweenstockholdersof_______________________CorporationaCorporationorganizedunderthelawsof_______________,whosenamesarehereuntosubscribedandallotherstockholdersofthesaidcompanywhoshalljoininandbecomepartiestothisagreementashereinafterprovided,allofwhichstockholdersarehereinaftercalledsubscribers,and,__________________________whoishereinaftercalledthetrustee(s):Whereas,thesubscribersarerespectivelyownersofsharesofcommonstockintheCorporationandtheamountssetoutoppositetheirsignatureshereto;Andwhereas,withaviewtothesafeandcompetentmanagementoftheCorporation,intheinterestofallthestockholdersthereof,thesubscribersaredesirousofcreatingatrustinthefollowingmanner;Now,itisherebyagreedanddeclaredasfollows:1.Thesubscribersshallforthwithendorse,assign,anddelivertothetrustee(s)thecertificatesrepresentingthesharesofstockownedbythemrespectively,andshalldoallthingsnecessaryforthetransferoftheirrespectivesharestothetrustee(s)onthebooksoftheCorporation.2.Everyotherstockholderinthecorporationmaybecomeapartytothisagreementbysigningitandassigninganddeliveringthecertificate(s)ofhisorhersharestothetrustee(s).3.Thetrustee(s)shallholdthesharesofstocktransferredtothem,underthetermsandconditionshereinaftersetforth.4.Thetrustee(s)shallsurrendertotheproperofficeroftheCorporationthecertificatesofthesubscribers,andshallreceiveforthemnewcertificatesissuedtothemastrustee(s)underthisagreement.5.Thetrustee(s)shallissuetoeachofthesubscribersatrustcertificateforthenumberofsharestransferredbythesubscribertothetrustees.Eachtrustcertificateshallstatethatitisissuedunderthisagreement,andshallsetfortheachsubscriber'sproportionalinterestinthetrust.Thetrustee(s)shallkeepalistofthesharesofstocktransferredtothem,andshallkeeparecordofalltrustcertificatesissuedortransferredontheirbooks,whichrecordsshallcontainthenamesandaddressesofthetrustcertificateholdersandthenumberofsharesrepresentedbyeachtrustcertificate.Suchlistandrecordshallbeopenatallreasonabletimestotheinspectionofthetrustcertificateholders.6.Itshallbethedutyofthetrustee(s),andthey,oramajorityofthem,shallhavethepowertorepresenttheholdersofsuchtrustcertificatesandthestocktransferredtothetrustee(s)asaforesaid,andvoteuponsuchstock,asinthejudgmentofthetrustee(s),orofamajorityofthem,maybeforthebestinterestoftheCorporation,intheelectionofdirectorsanduponanyandallmattersandquestionswhichmaybebroughtbeforethem,asfullyasanystockholdermightdo.7.Thetrustee(s)shallcollectandreceivealldividendsthatmayaccrueuponthesharesofstocksubjecttothistrust,andshallpaythesametothetrustcertificateholdersinproportiontothenumberofsharesrespectivelyrepresentedbytheirtrustcertificates.8.Thetrustee(s)shallbeentitledtobefullyindemnifiedoutofthedividendscomingintotheirhandsforallcosts,changes,expenses,andotherliabilitiesproperlyincurredbythemintheexerciseofanypowerconferreduponthembythisagreement;andthesubscribersherebycovenantwiththetrustee(s)thatintheeventofthemoniesandsecuritiesintheirhandsbeinginsufficientforthatpurpose,thesubscribersandeachofthemwill,inproportiontotheamountsoftheirrespectivesharesandinterests,indemnifythetrustee(s)ofandfromalllossordamagewhichtheymaysustainorbeputto,byreasonofanythingtheymaylawfullydointheexecutionofthistrust.9.Intheeventthattheholderofanytrustcertificatesh...
