海外代理协议SALESAGENCYAGREEMENT编号/No：日期/Date：此协议是双方在平等互利基础上建立的，共同遵守下列条款：ThisAgreementismadeamongthepartiesconcernedonthebasisofequalityandmutualbenefitstodevelopbusinessontermsandconditionsmutuallyagreeduponasfollows:1.协议相关各方当事人Thepartiesconcerned生产商：鸿安企业（香港）子公司宜昌瑞英机电有限公司（以下简称“甲方”）Manufacturer:SubsidiaryofHanoverEnterprisesLtd.YichangUnionInc.(hereinafterreferredtoasPartyA)代理商：（以下简称“乙方”）Agent：(hereinafterreferredtoasPartyB)2.独家代理权的授予AppointmentofExclusiveAgent甲方授权乙方为其单头电磁炉产品在日区域特约总经销商，全权负责甲方生产的产品在日本市场的推广，销售和售后服务事宜。PartyAherebyappointsPartyBasitssoleagencyintheJapanmarkettoengageinthepromotion,salesandaftersalesserviceofitssingle-hobinductioncooker.产品：由甲方生产的单头电磁炉。Commodity:Single-hobinductioncookersproducedbyPartyA.代理区域：仅限日本区域内。Territory:InJapanonly.3.订单的确认ConfirmationonOrders关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等以甲乙双方另行签定的销售合同为准。Thequantities,pricesandshipmentofthecommoditiesstatedinthisAgreementshallbeconfirmedforeachtransaction,theparticularsofwhicharetobespecifiedintheSalesContractssignedbythetwopartieshereto.4.付款PaymentTerms订单确认后，乙方须通过T/T先向甲方支付30%定金，在出货前须将余款通过T/T的方式付清，或者按照有关销售合同所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。Afterconfirmationoftheorder,PartyBshouldpay30%fordepositbyT/TtoPartyA,thebalanceshouldbepaidbeforeshippingbyT/T,orthePartyBshallarrangetoopenaconfirmed,irrevocableL/CavailablebydraftatsightinfavorofPartyAwithinthetimestipulatedintherelevantS/C.PartyBshallalsonotifyPartyAimmediatelyafterL/Cisopened,sothatPartyAcangetpreparedfordelivery.说明：若订单数量<500pcs，则为发货前100%付清款。Remark:Incasethequantityofordersislessthan500pcs,100%T/Tbeforeshipment.5.价格条款PriceTerms价格：为了保证长期的合作，促进共同的发展，甲方提供产品价格表给乙方，各款报价详见其他附件。Price:PartyAprovidequotationlistofproductstoPartyBsoastoensurethelongtermcooperationandjointdevelopment.Detailedquotationisasadditionalattachment.注1，如甲方推出新款产品，甲方将通过电邮通知乙方;注2，甲方保证报给乙方的价格为在日本区域内最低的价格。注3，乙方不得擅自将价格表内容透漏给任何第三方，乙方必须严格执行和遵守甲方的价格体系。Remarks:1,OncePartyApromotenewproducts,willinformPartyBbyemail.2,PartyAmakesureofferedthelowestpriceforPartyBwithinJapanarea.3,PartyBshouldnotletoutthequotationstoanythirdpartiesbutmustexecutestrictlyandadheretothepricesystemofPartyA.6.甲乙双方责任LiabilityofTwoParties6.1产品质量QualityofProduct:甲方保证向乙方提供优质产品（甲方生产的电磁炉等一系列产品），保证供货稳定;当产品出现重大的质量问题，引起相关的投诉和法律纠纷时，甲方需要承担相应的责任。PartyAguaranteeallproducts(seriesofinductioncookers)providedwithhighqualityandstablesupply.Ifthereoccursbigproblemsonqualityandcausedcomplaintsorlegaldisputes,PartyAshouldaffordtherelatedresponsibility.6.2产品配置ProductConfiguration如乙方没有特殊要求，则按照甲方公司提供的产品标准机型配置（如有特殊要求需要重新报价）。WithoutspecialrequestfromPartyB,allproductsarejustasPartyAoffered,orwillbeneededtorenewthequotation.6.3产品包装及交货时间PackagingandDeliveryTime甲方发货要保证货物的安全及包装...
