摘要中国企业跨国并购是指中国的跨国性企业出于发展的目的，通过一定的融资渠道和支付手段，将另一国企业的一定份额的股权甚至整个资产收购的行为。对于企业并购风险的确认、评估、控制，国外学者具有较为完善的经验，更加深入的研究，相对来说，国内对于企业并购风险的研究起步较晚，研究工作多集中在介绍和引用国外的理论，尚未形成基于中国制度背景的并购理论体系，与国外的研究水平相比还存在着较大的差距。近些年，中国企业的跨国并购活跃在世界各地，处在复杂的国际背景中，跨国并购活动面临着诸多风险。本文集中阐述了中国企业跨国并购的近期现状及表现特征，围绕中国企业跨国并购中出现的风险，从政治、法律、财务、整合这四个方面做了相应的分析，并对这四个方面风险的来源进行了探寻，进一步在此基础上提出应对风险的措施。本文系运用规范研究方法进行的专题研究。全文分五个部分：第一部分，导论中阐明了本选题的研究背景和意义，对国内外的相关文献做出了简要的梳理，提出了本文的研究内容、研究思路和方法；第二部分，探究近几年中国企业在跨国并购时的状况、特征和出现的问题；第三部分，从政治、法律、财务、整合这四个方面对中国企业跨国并购中的风险进行了系统的阐述和风险的来源分析；第四部分，进一步对前面所说明的风险提出了相对应的规避措施；最后第五部分，在结语部分总结了全文的行文结构和研究结论，说明了本文的不足以及表达了对未来研究的展望。本文完成了对于中国企业跨国并购的风险与规避这一研究方向的初步探索，简要地将风险分为四个方向，并针对如何更好的规避风险这一问题提出自己的观点。关键词：中国企业；跨国并购；风险；规避风险AbstractChineseenterprisescross-borderMergersandAcquisitionsreferstoChina'smultinationalcompaniesforthepurposeofdevelopment,throughcertainfinancingchannelsandpaymentmeans,anothercountry'senterprisesshareacertainshareofthestockoreventheentireassetacquisitionbehavior.Fortheconfirmation,evaluationandcontrolofM&Arisk,theforeignscholarshavemoreperfectexperienceandmorein-depthresearch.Incontrast,theresearchontheriskofM&AinChinaisrelativelylate.Theresearchworkfocusesonintroducingandquotingforeigntheories.ThereisnoformationofthesystembasedonthebackgroundofChina'sM&Atheorysystem,comparingwiththelevelofforeignresearchthereisstillabiggap.Inrecentyears,cross-borderMandAofChineseenterpriseshavebeenactiveintheworld,inacomplexinternationalcontext,cross-borderM&Aactivitiesarefacingmanyrisks.ThispaperfocusesontherecentstatusquoandperformancecharacteristicsofChineseenterprisescross-borderMandA,andanalyzestherisksarisingfromChineseenterprisescross-borderMandA,andanalyzesthefouraspectsofpolitics,law,financeandintegration.Thesourceofthesearch,andfurtheronthebasisoftheproposedriskresponsemeasures.Thispaperistheuseofnormativeresearchmethodsofthethematicresearch.Thewholethesisisdividedintofiveparts:Inthefirstpart,theauthorintroducestheresearchbackgroundandsignificanceofthistopic,andmakesabriefcombingoftherelatedliteratureathomeandabroad,andputsforwardtheresearchcontents,researchideasandmethods.Thesecondpart,exploresthesituation,characteristicsandproblemsofChineseenterprisescross-borderMandAinrecentyears.Thethirdpart,fromthefouraspectsofpolitics,law,finance,integrationofChineseenterprisesinthecross-borderMandAintheriskofasystematicexpositionandtheriskofChineseenterprisesincross-borderMandA.Thefourthpart,furtheronthepreviouslydescribedriskofthecorrespondingmeasurestoavoid.Finally,thefifthpart,intheconclusionpartofthefulltextofthetextstructureandresearchconclusions,illustratesthelackofthisarticleandexpressedtheprospectsforfutureresearch.Thispapercompletesth...
