These General Terms of Sale are signed at For the purpose of the General Terms of Sale (the “Terms”), the term "Seller" shall mean Saint-Gobain Solar Gard Specialty Film Co. Application/ 适用The Terms shall apply to any sale of goods by the Seller to the Buyer, notwithstanding different or contrary terms or/and conditions mentioned on the orders or other documents provided by the Buyer. In the event of any conflict or inconsistency between the Terms and any terms and conditions contained in the Buyer’s orders or in any other documents issued by the Buyer, whether or not any such documents have been acknowledged or accepted by the Seller, the Terms shall prevail. 无论在订单或买方提供的其他文件中是否有不同或相反的规定，本条款应适用于卖方向买方出售货物的所有交易。 如果本条款和订单或买方出具的其他文件中所包含的条款和条件存在冲突或者不一致之处，应以本条款为准，而无论卖方是否认可或接受买方的条款和条件。2. Offer and Acceptance/ 要约与接受a) The order of the Buyer shall constitute the offer. 买方的订单构成要约。b) All orders issued by the Buyer to the Seller, including those received or accepted by representatives or agents of the Seller, shall bind the Seller and the Buyer after the Seller issues a written acceptance of the order, in the form of an order confirmation. 所有由买方向卖方出具的订单，包括那些被卖方的代表或代理所收到或接受的订单，应在卖方以订单确认函的形式书面接受后约束买、卖双方。3.
