CONSULTANCYAGREEMENTBETWEENPARTYAANDPARTYBThisagreementismadebyandbetween:PARTYA,acompanyexistingunderthelawsofPeople’sRepublicofChina,havingitsregisteredofficeinxxxxxxx(Hereafterreferredtoas“PARTYA”)ANDPARTYB,XXXXXXXXXX(Hereafterreferredtoas“PARTYB”)PROJECT:Projectssignedwith********.(Hereinafterreferedtoas“theProject”)Whereas:1.PartyAisdesirousofcooperatingwithPartyBtocarryoutthesaidProject;2.PartyBisagreeabletosuchcooperation;NOWTHEREFORETHISAGREEMENTWITNESSETHASFOLLOWS:ARITCLE1–APPOINTMENTOFCONSULTANTANDSCOPEOFCOOPERATION1.1PartyAherebyappointsPartyBasitsconsultantsfortheProjectsinXXXX(COUNTRY)forCLIENT,subjecttothetermsandconditionsofthisAgreement.Theconsultantsacceptsuchappointmentandagreetokeep,observeandperformthetermsandconditionsoftheAgreement.1.2PartyBshallnotprovidethirdpartiesofacompetitivenaturethesameserviceasprovidedtoPartyA,forthesameprojectthroughouttheeffectivetermofthisAgreement.1.3TheservicecontemplatedunderthisAgreementshallberestrictedinXXXX(COUNTRY).2ARTICLE2–SUBJECTMATTEROFTHEAGREEMENT2.1ThepartiesshallcooperatewitheachotherinaccordancewithobligationsandconditionscontainedhereintheAgreement.ARTICLE3–OBLIGATIONOFPARTYB3.1PARTYBisobligatedtoshowitscapacitybyprovidingalltheessentialinformation,advice,consultationandotherservicesrequestedbyPARTYA,inviewofobtainingtheprojectcontractssignedbetweenPARTYAandtheCLIENTandsoastosecurethegoodexecutionofthecontractsbycoordinationandsolvingtheproblemsoccurredbetweenPARTYAandtheCLIENT.PARTYBwillactasaconsultantofPARTYAinXXXX(COUNTRY)topromotePARTYA'sparticipationinthesaidProjectsinXXXX(COUNTRY),alongwithXXXX(COUNTRY)authoritiesandprivateentities.ThatconsultantserviceisnotlimitedinscopebutthepartieswillagreeonalistoftargetswhichwillconstitutetheinitialbasisofPARTYB’swork.3.2UpontherequestofPARTYAwhenevernecessary,PARTYBshouldalso:ProvideassistancetoPartyA’sworkintheclient’scountry.SupplytoPartyAwithdataconcerningthemarketandotherinformationincludinginformationonlaws,payments,taxationandotherstandardsinforceintheclient’scountrywhichcouldbenecessary.TakepartinthepreparationandsubmissionofanywrittendocumentwhichmustbepresentedtoclientinrelationtotheProject.AssistPartyAtofulfillcontractualobligationsduringthecourseofimplementationoftheProjectContract.ARTICLE4–CONFIDENTIALITY34.1ThePartiesshallkeepallinformationobtainedinrelationtothisAgreementconfidentialandshallnotthereforedivulgeittoanythirdparties.4.2AnyexceptiontotheabovemustbeagreedtoinwritingbytheParties.ARTICLE5–REMUNERATION5.1PartyAshallpaytoPartyBsuchremunerationasPartyBshallbeentitledtoinaccordancewiththetermsofthisAgreement.5.2ThePartiesagreethatremunerationshallbepaidtoPARTYBaccordingtothepercentageandthecontractamountshowninthetablebelowwhenthecontractamountisequaltothebiddingprice:Whenthecontractamountislowerthanthebiddingprice,thepercentageshowninthetableaboveshallbereducedaccordinglyupontheParties’friendlydiscussion.5.3PaymentsshallbemadeintoPartyB’sbankaccountspecifiedbyPartyBinwriting,andshallbeinthesamecurrency(USD)asthatoftheProjectcontract.5.4InconsiderationofthefactthatPartyAshallbepaidinaccordancewiththepaymentscheduleoftheProjectcontract,paymentsinfavorofPartyBshallbemadecorrespondenetly,andshallbemadeafterPartyA’seffectivereceiptofeachpaymentfromtheClient.ARTICLE6–VALIDITYANDTERM6.1ThisAgreementshallcomeintoforce...
