完善虚假出资法律责任探究学位论文

AbstractInveracious investment is long standing, it exist after the corporation system produce. Because it can increase registered capital and strengthen the fund liquidity and so on, so lots corporations try to neck or nothing. our country’s corporation system started fairly late, the old corporation law is not perfect, the new corporation law definitude the investment-checking institution’s liability, we can find that the country attach importance to this question. but about the inveracious investment still not erfect, so I discuss the concrete legal by research the Inveracious investment’s present situation and defect ,thus to prevent and reduce Inveracious investment.Key words: Inveracious investment ；investment-checking institution；legal liability完善虚假出资法律责任探究在公司法律制度中，股东出资是一个非常重要的法律问题，对于公司、股东及公司债权人均具有重要的意义。然而自 20 世纪 90 年代《公司法》实施以来，由于我国公司出资制度的缺陷及相应配套设施的不完善，使得我国公司股东违反出资义务的现象异常严重，特别是虚假出资，严重影响了市场经济的交易安全及信用体系的建立，从而阻碍了市场经济的健康进展。虽然新《公司法》对原公司法在股东出资制度方面进行了大幅度的修改，但是对虚假出资规制的相关规定仍然不够完善，使得司法实践中对虚假出资的认定及虚假出资者的责任追究缺乏明确的法律依据，从而对案件的解决带来了很大的困难，因此笔者主要从相关法律对虚假出资的规定入手，在借鉴外国讨论成果的基础上完善我国虚假出资法律责任制度。一、完善虚假出资法律责任的意义多年来公司注册资本一直被誉为是公司赖以生存的物质条件，是公司债权人的唯一担保，对社会交易的安全稳定具有重要意义。正是在这样的社会背景下，完善虚假出资法律责任具有深远的意义，其主要的意义表现在以下几个方面：（一）建立良好的市场交易秩序良好的市场交易秩序是建立在公平公正公开的前提下，虚假出资的公司显然违反了公平这一原则，对于其他真实出资的公司来说，他们具有更多的优势，同时也不利于市场交易秩序的稳定。完善虚假出资法律责任可以有效打击虚...
