SALESANDPURCHASECONTRACTOFINDONESIANSTEAMCOAL(NCV5500-5300KCAL/KG)CONTRACTNO.:TDCOAL5553CIF80311印度尼西亚动力煤购销合同(NCV5500-5300KCAL/KG)合同号：TDCOAL5553CIF80311ThisSalePurchaseContractofIndonesianSteamCoalismadeon13RDofOCT2010(“Agreement")byandbetween:本印度尼西亚动力煤购销合同于2010年10月13日由下述双方签订：1.(hereinafterreferredtoas“theSeller"),acompanyincorporatedinHongKongwithitsregisteredofficeatHongKong.______________公司(以下简称“卖方”)，一个在香港成立的公司，注册地在香港_______；2.(hereinafterreferredtoas“theBuyer"),acompanyincorporatedinChinawithitsregisteredofficeat.有限公司(以上简称“买方”)一个在中国成立的公司，注册地。BoththeSellerandtheBuyermayindividuallybereferredtoas“Party"orcollectivelyasthe“Parties".买卖双方可以分别被称作“各方”或一起指“双方”。Whereas:鉴于：1)TheSellerandtheBuyerhaveagreedtoenterintothisSALESANDPURCHASECONTRACTOFINDONESIASTEAMCOAL(ashereinafterdefined)subjecttothetermsandconditionshereincontained.卖方和买方同意签订本合同，据此，卖方将根据买方按本文所载条款及条件供应动力煤(定义见下文)。2)TermsofContract合同条款ThePartiesherebyagreethatthisContractshallbecomeeffectiveonthedateofthisContractandshallcontinueineffectforaperiodofONE(1)year;shallautomaticallyexpireunlessrenewedorextendedinwriting;shallcontinueforaperiodand/ortobemutuallyagreedbythePartiesand/orterminatedinaccordancewiththetermsofthisContract.双方在此同意，本合同应在签订之日起生效,并应继续本合同的有效期为一(1)年，除非更新或书面通知延长，否则本合同将自动失效；本合同有效期间，如双方商定和/或由双方需根据本合同条款以终止。3)TheSellerandtheBuyerbothconfirmwithfullresponsibilitythattheyhavethecorporateauthoritytosignthisContract.买卖双方在各自授权情况下确认，并签订本合同。Nowitisagreedasfollows:在此达成如下协议：DEFINITIONS定义InthisContract,unlessthesubjectorcontextotherwiserequires,thefollowingwordsandexpressionswillhavethefollowingmeaningsrespectivelyascribedtothem:在本合同中，除非所述事项或文意另有所指，下列词语将它们分别归于以下涵义：1)MetricTon:Ameasureofweightequivalenttoonethousandkilograms(1,000kg)公吨：重量的度量单位,相当于一千公斤物体重量。2)BillofLading：Theofficialdocument,issuedattheloadingportaftercompletionoftheloadingoperations,whichstatetheamountloaded,expressedinMetricTons(MT).Thisoriginaldocumenthastobesignedbytheship’sMasterandmadeoutinaccordancewiththeinstructionshereinafterspecifiedintheContract.提单：在装货港装货完成后,装货港签发的正式文件，记录着受载数量，以公吨计量。该文件正本必须由船长签署，并必须以合同中的指示为依据。3)LoadingPort:PortofIndonesiawherethevesselanchoringat/orsuchotherportasthepartiesmayagreetoinwriting.装货港：指船只停泊的印度尼西亚港口，或经双方书面同意的其他港口。4)DischargePort：Thesafeport/berthdesignatedbytheBuyerasfinalreceivingdestination.卸货港：买方指定的安全港口/泊位作为最终的目的港。5)CIF:Cost,InsuranceandFreightstrictlyasreferredtointheinterpretationsdefinedbytheINCOTERMSEdition2000withlatestamendments.严格依据“国际商会国际贸易术语解释通则”2000最新版定义所指的成本+运费+保险6)CCIC:CCICINDONESIAPTELTD.指中国检验认证集团之成员公司。7)ADB:AirDriedBasis.指空气干燥基基准。8)ARB:AsReceivedBasis指收到基基准。9)GCV:GrossCalorificValue指总热值。10)NCV:NetCalorificValue(AsReceivedBasis)指低位收到基基准(收到基净值)。11)Cargo:Meanscoaltobetransported.指装运的煤。12)Coal:SteamcoalexploitedbytheSellerfromIndonesia.指卖方开...
