ContractforExportingMiningEquipmentContractNo.____ThisContractismadeandenteredintoonthe15th,Oct.inSulaiminiyhbyandbetweenMassIraqCementCo,Ltd(astheBuyer)andChinaJiangsuGrandEconomicDevolpmentCo.,Ltd.acompanyincorporatedunderthelawsofChina(hereinafterreferredtoastheseller).Whereas,theBuyerdesirestoengagetheSellertoprovidetheMiningEquipment,allrelateddesign,technicaldocument,technicalserviceandtechnicaltrainingandtoobtainfromtheSelleralicenseofknow-howandothertechnicalinformationinrelationwiththeEquipment’sdesign,erection,commissioning,operationandmaintenance.Nowitisherebymutuallyagreedasfollows:Article1Definitions1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticlexx.1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle9.4forthepurposeofcarryingoutPerformanceTest.1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle16.1.1.5“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendix3.1.6“Erection”meanstheinstallationoftheEquipmentincludingplacingandconnectingpartstotheirpositionsaccordingtothedesigndrawing.1.7“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namelyMassIraqCementPlant.1.8“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached100percentofthetotaltheEquipmentprice.1.9“PerformanceTest”meansthetestsforexaminingwhethertheEquipmentisabletomeetguaranteefigures.1.10“TechnicalDocument”meansthetechnicalindices,specifications,drawings,manualandinstructionsrelatedtothedesign,erection,test-run,commissioning,acceptance,operationandmaintenanceoftheEquipmenttobeprovidedbytheSeller.1.11“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSeller.1.12“TechnicalTraining”meansthetrainingrenderedbytheSeller.1.13“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.1.14“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle10.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle10.Article2ScopeoftheContract2.1TheSeller’sObligation2.1.1TheSellershallsupplytheEquipmentandspareparts,providethedesign,TechnicalDocument,andconducttheTechnicalServiceandTechnicalTraining,andgrantanon-exclusiveandnon-transferablerighttousetheknow-howandothertechnicalinformationrelatedtotheEquipment’sdesign,Erection,Commission,operationandmaintenance.2.1.2TheSellershallprocureandsupplytheEquipmentandsparepartswhichislistedinAppendix,thespecificationisdetailedinAppendix.2.1.3TheSellershallprovidedesigninrespecttotheEquipmentandsubmittotheBuyertheTechnicalDocument.2.1.4TheSellershallconducttheTechnicalServicesattheJobSite.2.1.5TheSellershallconducttheTechnicalTrainingoftheBuyer’straineesasperAppendix.2.1.6TheSelleragreestograntnon-exclusiveandnon-transferablerighttousetheknow-how,othertechnicalinformationrelatedtotheEquipment’sdesign,Erection,Commission,operationandmaintenancefreeofcharge,whichtheSellerprovidesanddisclosestotheBuyerduringtheimplementationoftheContractperiod.2.2TheBuyer’sObligation2.2.1TheBuyershallathisowncosts...
