RegulationofForeignCompaniesBranchesinIraqno.2Ofyear2017外国公司在伊拉克注册分支机构条例(2017第2号文件)Article1Thefollowingtermshavetheunder-mentionedmeaningsforthepurposeofthisRegulation:-在本条例中，下列字样含义如下：First-TheMinister:MinisterofTrade.1.部长指贸易部部长Second-TheRegistrar:TheRegistrarofCompanies.2.注册官指公司注册官。Third-Theforeigncompany:AcompanyincorporatedoutsideIraqaccordingtoaforeignlaw.3.外国公司是指根据外国法律在伊拉克境外成立的公司。Fourth-RegistrationLicense:AdocumentissuedbytheRegistrarofCompaniesandannouncetheregistrationofaforeigncompanybranchinIraqaccordingly.4.登记证书是指一份由公司注册官签发的借以宣布外国公司在伊拉克注册分公司的文件。Fifth-Thebranch:AlegalentityrepresentstheforeigncompanyinIraq.5.分公司是指在伊拉克代表外国公司的法律实体。Article2Everyforeigncompany(which)wishestoexercisetradingactivityinIraqwhentwoyearspassasfromitsincorporation,canopenabranchaftersubmittingthefollowingdocumentstotheRegistrardulytranslatedintoArabiclanguageandlegalizedfromthecompetentauthoritiesinthecountryoforigin:-外国公司如在伊拉克从事贸易活动，可自其注册成立之日起满两年后，向注册官提交正式翻译为阿拉伯语并经原国家主管部门确认合法的下列文件后，在伊拉克开设分支机构：First:ThespecialformofthelicenseapplicationdesignatedbytheRegistrar.注册官指定的特定的许可证申请表格；Second-Thememorandumofincorporationandarticlesofassociationoftheforeigncompanyoranequivalentdocument.外国公司的章程,内部规章制度或等效文件。Third-Avalidcertificateofregistration(incorporation)oftheforeigncompanyoranequivalentdocument.外国公司的注册证书或等效文件。Fourth-Alistofthenamesoftheboardofdirectorsoftheforeigncompanyandnationalityofeachoneandnamesofauthorizedsignatories.一份外国公司董事会董事名单,注明每名董事的名字、国籍以及授权签字人的名称。Fifth-AuthorizationdocumentforthemanagerwhoisempoweredtomanagethebranchinIraqandactuallyresidingtherein.对管理伊拉克分支机构并实际居住在伊拉克的经理的授权文件。Sixth-AuthorizationdocumentforthepersonwhoisdesignatedtosubmittheapplicationtoopenthebranchinIraq.对指定的向伊拉克提交设立分支机构申请人员的授权文件。Seventh-Thefinalaccountsofthelastfinancialyearoftheforeigncompany.外国公司上一个财政年度的决算。Eighth-TheundertakingformattedbytheRegistrar.注册官用表格设计的各种保证性条件Ninth-AnyotherdocumentwhichisorderedbytheRegistrarconcerningthecompanybusiness.注册员要求提交的关于公司业务的任何其他文件。Article3first-TheRegistrarissueshisdecisiontoapproveorrefusetheforeigncompanyrequestconcerningprovidingthecompanywiththeregistrationlicenseofabranchinIraqwithin(30)thirtybusinessdaysasfromtheapplicationdatewhichmustrespondtotherequirementstatedinarticle(2)ofthisRegulationotherwisetheapplicationisconsideredacceptableandincaseofrefusedtheremustbeareasonforthedecision.从申请日期起30个工作日内，注册官应就外国公司向伊拉克申请注册分支机构一事做出批准或拒绝的决定。如注册官未在上述时间内对本条例第2条所述的申请做出回应，则视为本申请已被接受，如申请被拒，则须给出拒绝之理由。Second-Theforeigncompanycanobjectagainsttherefusaldecisionaccordingtolaw.外国公司可依法对拒绝的决定提出异议。Third-ThepersonwhoisauthorizedtoregisterthebranchinIraqhastopublishthedecisionofthebranchregistrationinalocalnewspaperforonetimewithin(15)fifteendaysafterpayingthelegallydetermineddues,otherwisethedecisionshallbeconsideredinvalid.被授权在伊拉克注册分支机构的人员，须在支付法律规定的费...
