1/31TermsandConditionsofContract合同条款1.Definitions1.定义l.1InthisContract,thefollowingtermsshallbeinterpretedasindicated:1.1本合同下列术语应解释为∶1)“TheContract”meanstheagreemententeredintobetweenthePurchaserandSupplier,asrecordedintheContractFormsignedbytheparties,includingailattachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein.1）“合同”系指买卖双方签署的、合同格式中载明的买卖双方所达成的协议，包括所有的附件、附录和上述文件所提到的构成合同的所有文件。2)“TheContractPrice”meansthepricepayabletotheSupplierundertheContractforthefullandproperperformanceofitscontractualobligations.2）“合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。3)“TheGoods”meansa1loft11eequipment,machinery,and/orothermaterialswhichtheSupplierisrequiredtosupplytothePurchaserundertheContract.3）“货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和/或其他材料。4)“TheServices”meansthoseservicesancillarytothesupplyoftheGoods,suchastransportationandinsurance,andanyotherincidentalservices,suchasinstallation,commissioning,provisionoftechnicalassistance,training,andothersuchobligationsoftheSuppliercoveredundertheContact.4）“服务”系指根据本合同规定卖方承担与供货有关的辅助服务，如运输、险以及其他的伴随服务，例如安装、调试、提供技术援助、培训和合同中规定卖方应承担的其他义务。5)“TCC”meanstheTermsandConditionsofContractcontainedinthissection.5）“合同条款”系指本合同条款。2/316)“ThePurchaser”meanstheorganisationpurchasingtheGoodsandServices,asnamedinTCCDataSheet.6）“买方”系指在合同条款资料表中指明的购买货物和服务的单位。7)“TheSupplier”meanstheindividualorfirmsupplyingtheGoodsandServicesunderthisContract,asnamedinTCCDataSheet.7）“卖方”系指在合同条款资料表中指明的提供本合同项下货物和服务的公司或实体。8)“TheProjectsite”meansthelocationwheretheGoodsaretobeinstalledandoperatedasnamedinTCCDataSheet.8）“项目现场”系指本合同项下货物安装、运行的现场，其名称在合同条款资料表中指明。9)“Day”meanscalendarday.9）“天”指日历天数。2.Application2.适用性2.lTheseTermsandConditionsshallapplytotheextentthattheyarenotsupersededbyprovisionsinotherpartsoftheContract.2.1本合同条款适用于没有被本合同其它部分的条款所取代的范围。3.CountryofOrigin3.原产地3.1A11GoodsandServicessuppliedundertheContractshallhavetheirorigininthePeople’sRepublicofChina(hereinafterreferredtoas“hePRC”)inthecountries/areaswhichhaveregulartraderelationswiththePRC(hereinaftercalled“eligiblesourcecountries”).3.1本合同项下所提供的货物及服务均应来自于中华人民共和国或是与中华人民共和国有正常贸易往来的国家和地区（以下简称“合格来源国”）。3.2ForpurposesofthisClause,“origin”meanstheplacewheretheGoodsweremined,grown,orproduced,orfromwhichtheServicesaresupplied.3.2本条款所述的“原产地”是指货物开采、生长或生产或提供有关服务的来源地。3/31Goodsareproducedwhen,throughmanufacturing,processing,orsubstantialandmajorassemblyofcomponents,acommerciallyrecognisednewproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutilityfromitscomponents.所述的“货物”是指制造、加工或实质上装配了主要部件而形成的货物。商业上公认的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品。3.3TheoriginofGoodsandServicesisdistinctfromthenationalityoftheSupplier.3．3货物和服务的原产地有别于卖方的国籍。4.Standards4.标准4.lTheGoodss...
