第1页共16页编号：时间：2021年x月x日书山有路勤为径，学海无涯苦作舟页码：第1页共16页技术引进合同（1）［适用让与人］前言Forewords本合同于年月日在签订。No.:_________，Date:_________，Place:_________一方为，以下简称甲方。PartyA:_________一方为，以下简称乙方。PartyB:_________鉴于乙方拥有合同产品生产的专有技术，并有权和愿意向公司转让该项技术。Thiscontractissignedonthisdateofinbyandbetween（hereinafterreferredtoasPartyA）and（hereinafterreferredtoasPartyB）.鉴于公司希望利用乙方所拥有的专有技术，以生产销售和出口合同产品。WhereasPartyBisinpossessionoftheknow-howtomanufacturethecontractproductsandhastherightandiswillingtotransfersuchknow-howtoNanfangTechnologyCo.，Ltd;甲方受公司委托，由甲方同乙方经过友好协商，同意按下列条件及条款签订本专有技术合同。本合同由公司与乙方执行。AndwhereasNanfangTechnologyCo.，Ltd.wishestoutilizetheknow-howpossessedbyPartyBtomanufacture，sellandexportthecontractproducts;PartyA，authorizedbyNanfangTechnologyCo.，Ltd.，heldfriendlydiscussionswithPartyBandhaveconcludedunderthefollowingtermsandconditionsthiecontract.第一条定义1.Definitions1．1专有技术，原指生产合同产品，甲方所需要的乙方所拥有和提供的全部生产技术及加工工艺。该生产技术和加工工艺包括全部设计、制造、操作图纸及技术资料、制造工艺、生产程序和生产技术细节。第2页共16页第1页共16页编号：时间：2021年x月x日书山有路勤为径，学海无涯苦作舟页码：第2页共16页1.1"Know-how"shallmeanallthemanufacturingtechnologyandprocessengineeringtomanufacturethecontractproductswhicharerequiredbyPartyAandwhichPartyBpossesses.Suchtechnologyengineeringshallincludetechnicaldetailsofalldesigns，operationdrawings，technicaldocumentations，manufacturingengineering，procedureandtechniques.1．2合同产品，指和产品，该产品符合本合同附件一所规定的技术条件和技术标准。也即甲方按照乙方提供的专有技术及设备进行制造和生产的产品。1.2"Contractproducts"shallrefertotheSIO2andITOconductivecoatingglassproductswhichareinconformitywiththetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract，e.g.theproductsmanufacturedbyPartyAwiththeknow-howandequipmentsuppliedbyPartyB.1．3技术资料，指制造合同产品所需要的全部“专有技术”，以及乙方在生产合同产品的过程中，所使用的全部有关设计和制造图纸，加工技术和工艺文件等资料。具体内容及要求详见本合同附件二。1.3"TechnicalDocumentations"shallmeanalltheknow-hownecessarytomanufacturethecontractproductsandallthedesigns，drawings，processingtechniques，andengineeringdocuments，etc.thatPartyBusesinmanufacturingthecontractproducts.ThecontentsandrequirementsofsuchtechnicaldocumentationsaresetforthinAppendix2ofthiscontract.1．4考核产品，指甲方用乙方提供的专有技术和专用设备所生产和制造的合同产品。该产品经过验证符合并且达到本合同附件一所规定的技术条件和技术标准。1.4"TestProducts"shallmeanthecontractproductsmanufacturedbyPartyAwiththeknowhowandspecialequipmentsuppliedbyPartyBwhich，whentested，shallmeetthetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract.1．5工艺文件，指生产合同产品所需要的全部加工方法、加工手段、工艺过程卡片、工艺图纸、工序卡片等全套资料。具体内容详见本合同附件二。1.5"EngineeringDocuments"shallmeanthecompletesetofprocessingmethods，meansofprocessing，engineeringcards，drawings，workprocedures，etc.whicharenecessarytomanufacturethecontractproducts.DetailsaresetforthinAppendix2ofthecontract.1．6工艺守则，指生产合同产品的全部生产和加工过程所必须遵循的原则。1.6"EngineeringRegula...
