SALESCONTRACT编号No.__________________日期Date_________________ThisistoconfirmthatSHENZHENSUNCHENGTRADECO.LTD.(hereinafterreferredtoastheseller)and___________________________(hereinafterreferredtoasthebuyers)haveagreedtoclosethefollowingtransactionaccordingtothetermsandconditionsstipulatedbelow.兹经深圳市顺城贸易有限企业（卖方）与________________________(买方)同意，按下述条款签订协议:PARTNos.SIZE/SHIPPINGMARKQUANTITYPRICETOTAL(with%moreorlessbothinamountandquantityallowedattheSellers’option)数量及金额容许_____%溢短装，由卖方选择。(1)TOTAL:总值：(2)TimeofShipment:装运期：(3)LoadingPort&Destination:From装运港及目的港：(4)ShippingMark:Attheseller’soption唛头：由卖方选择(5)Insurance:保险：(6)TermsofPayment:付款方式：(7)Amendment(s)ofLetterofCredit:Buyersshallopenletterofcreditstrictlyinaccordancewiththetermsandconditionsofthiscontract.Ifanydiscrepancyisfound,amendment(s)oftheletterofcreditshouldbemadeimmediatelybythebuyersshallberesponsibleforanylossthusincurredaswellasforlateshipmentthuscaused.信用证的修改：买方应依本协议规定开立信用证，若有不符，应在接到卖方告知后立即开立本信用证的修改告知书。否则买方将承担由此产生的损失及迟期装运。(8)QualityandWeight:Forthequanlityandweightofthegoodsshipped,theinspectioncertificate(s)issuedbytheImportandExportCommodityInspectionBureauofthePeople’sRepublicofChinaattheportofshipmentshallbepartofthedocumentstobepresentedfornegotiationundertherelevantletterofcredit.品质与重量：中华人民共和国进出口商品检查局应就出口商品的品质与重量出具检查证书，该检查证书应作为议付单据在信用证中有所提醒。(9)DiscrepancyandClaims:Shouldthequalityand/orquantity(weight)befoundnotinconformitywiththatofthecontract,theBuyersareentitledtolodgewiththeSellersaclaimwhichshouldbesupportedbysurveyreportsissuedbuarecognizedsurveyorapprovedbytheSellers.Theclaim,ifany,shallbelodgedwithin30daysafterarrivalofthecargoattheportofdestination.不符与索赔：若发现品质、数量或重量与协议不符，买方应于货到目的港后30天内提出索赔，并同步提交由权威部门或卖方提供的勒察汇报。(10)ForceMajeure:Thesellersshallnotbeheldliablefornon-deliveryordelayeddeliveryofthegoodsduetoaccidentsbeyondtheircontrol.However,theSellersshalldelivertotheBuyersthedocumentaryevidence(s)offorcemajeurecause(s).不可抗力：如因不可抗力原因致使卖家无法交货或延迟交货，卖方概不负责，但卖方应就不可抗力原因向买方提交证明材料。(11)Arbitration:Alldisputesinconnectionwiththiscontractoritsexecutionshallbesettledbynegotiation.Incasenosettlementcanbereached,thecaseunderdisputeshallthenbesubmittedtoChinaInternationalEconomicandTradeCommissioninBeijingforarbitrationinaccordancewithitsArbitrationRules.Thedecisionshallbefinalandbindinguponbothparties.Thearbitrationfeesshallbebornebythelosingparty.仲裁：凡因执行本协议或有关本协议所发生的一切争议，如不能处理，应提交中国国际经济贸易委员会根据其仲裁规则进行仲裁，此裁决为终局的，对双方均有约束力，制裁费用由败诉方承担。(12)Remarks:备注：THESELLERS(卖方)THEBUYERS（买方）SHENZHENSUNCHENGTRADECO.LTD.Add：#1913-59,GuangYinDaSha,38thAdd:FuTianNanLu,FuTianQu,ShenZhen518033ChinaTel:+8675536878685Tel:Fax:+8675533902166Fax:
