本科论文摘 要影响独立董事制度最关键的一部分是独立董事薪酬,薪酬的多少会直接的影响独立董事的工作绩效和独立性,我国存在独立董事薪酬制度模式比较单一,立法层次相对较低,上市公司直接支付薪酬以及独立董事自身能力不足等因素,造成独立董事不能真正的发挥其作用,如何对独立董事薪酬进行改进和完善?这一问题成为当前我国上市公司发展道路上面临最迫切、最急需解决的问题。该论文从我国的基本国情考虑,结合国内外成功的方法和理论,以独立董事薪酬为研究对象,从法律层面、企业内部结构以及独立董事自身等寻找问题存在的原因,运用有效的方法解决或避免,进而推动上市公司的治理结构不断的完善和发展。关键词:独立董事,薪酬,上市公司本科论文AbstractThere is a relatively simple model of independent directors ’remuneration system in China, and the level of legislation is relatively low.
