E X C L U S I V ES U B D I S T R I B U T O R S H I P A G R E E M E N TThis Agreement ("the Agreement") is enteredinto by and between:……………………….(hereinafter referred as "the Distributor")and…………………………..(hereinafter referred as "the Supplier")of the second part (both of them hereinafter collectively referred to as "the Parties")WHEREBY IT IS AGREED AS FOLLOWS:- 2 -Clause 1The Supplier hereby grants the Distributor an exclusive right as defined in Clause 3 to purchase and resell the Supplier's Products (as hereinafter defined) within the Territory of Greece, Cyprus and the Albania.The Distributor shall purchase the Products from the Supplier and sell them to customers within the Territory in his own name and for his own account.The Distributor shall have the right to appoint his own sub distributors, sub agents and consultants.Clause 2In the performance of the duties, the Parties shall act in good faith towards each other and towards any third party. They shall discharge their obligations in compliance with sound business practice.The Parties may not without authorisation pass on or exploit such trade secrets as have come to their knowledge during the term of this Agreement.PRODUCTS AND TERRITORYClause 3The Supplier grants the Distributor an exclusive right to sell the Products which are sold by the Dis-tributor.
