电解铜销售购买合同（中英文）PURCHASEANDSALEAGREEMENTFORCOPPERCATHODESContractNumber:合同编号：Date:ThiscontractisforthepurchaseandsaleofCathodeCopper99.99%upwardsThisagreementexecutesandenteredintoonthisdayofbyandbetween:本合同经买卖双方友好协商，就进口99.99%以上品质电解铜事宜达成一致，于年月日共同完成并签订执行此合同：THESELLER（卖方）：Address/地址：Tel./电话:Fax/传真：Email/邮件：Contactperson:THEBUYER（买方）：Address/地址：Tel./电话：Fax/传真：Email/邮件：WHEREAS:TheSellerandBuyer,eachwithfullcorporateauthority,certifies,representsandwarrantsthateachcanfullfilltherequirementsofthiscontractandrespectivelyprovidetheproductsandthefundsreferredtoherein,intimeandunderthetermsagreedtohereinafter;andwhereastheSellerherebyagreesandmakesanirrevocablefirmcontracttosellandwhereastheBuyerherebyagreesandmakesanirrevocablefirmcontracttopurchaseCopperCathodenotlessthan99.96%-99.99%,whereastheSellerandBuyerbothagreetofinalizethiscontractunderthetermsandconditions,itisthereforeagreedasfollows:买卖双方将共同履行该合约所涉及的各项权利和义务，卖方保证如期提供99.96%--99.99%品质的电解铜，以及所列文件资料，买方将保证如期支付相应货款，具体事宜如下：1.SUBJECTOFTHECONTRACT(合同商品)1.1SellerhassoldandBuyerhasboughtCopperCathode99.99%upwardinaccordancewiththeSpecificationsstipulatedinAnnexes1,whichisanintegralpartofthiscontract.买卖双方同意执行电解铜99.99%以上进口事宜，产品成分及规格详见附件一(做为该合同的补充内容，与本合同具有同等法律效力)；1.2Thecoppercathodeunderthiscontractshallbedeliveredinquantitiesof5000MT/Month(+/-0.5%)x12Month,total60,000(+/0.5%)MTperyearunderBankGuaranteeterm,allCIFthepostofChina.本合同将包括电解铜进口共5000MT/Monthx12Month(+/-0.5%),数量60,000(+/-0.5%)吨，CIF港。1.3Amendments;Seebottomofpage7.合同修订补充：见第七页末空白处。2.PRICETERMSANDVALUEOFCONTRACT(价格及合同金额)2.1PriceisdeterminedinUnitedStatesDollarsonthebasisCIFXXXChina.本合同将以CIFXXX港为准，以美元结算执行；2.2ThepriceofCopperCathodes99.99%upwardagreeduponisUSD5,900.-/MTCIF(fivethousandfivehundredUnitedStatesDollarsperMetricTonne)买卖双方同意并接受进口电解铜99.99%-99.99%以上品质，成交价格为每吨单价5,950.-美元CIF港。2.3.1MonthvalueofcoppercathodeisUSDXX,X00,000,thetotalvalueofthecontractisUSDXXX,000,000(Threehundredforty-twomillionUnitedstatedollars).每月电解铜货款金额为XX,X00,000.-美元,本合同金额总值为XXX,000,000.-美元。3.DELIVERY/SHIPMENT(货物交付及海运)3.1ThedeliveryoftheCopperCathodes99.99%shallbemadewithin45daysfrombuyeropeningaoperativeBankGuarantee(BG)。双方签订合同即日生效，买方开出生效的银行保函肆拾五天（45天）内起运99.99%品质的电解铜。Thedateofthebillofladingshallbeconsideredtheshipmenttime.海运提单的开具日期将被认定为海运启运日期。3.2Thefirstshipmentshouldarrivebuyer’sdestinationportin60daysafterthebuyeropenedtheBankGuarantee(BG)toseller’sbank.第一个月的货品在买方开出银行保函后的60天内抵达买方指定的中国口岸。3.3Theconsequentlymonthsshipmentwillarrivedbuyersdestinationportin45daysafterthesellergetpaymentfromthebuyerside.接续月份的商品到货日期为卖方收到买方当期货品电汇款的45天内。4.PAYMENT(付款)4.1FordeliveriesthruthebuyershallopenanUnconditional,IrrevocableBankGuarantee(BG)withoneyearandonemonthvaliddateinUSDollarssufficienttocover100%(Onehundredpercent)for5000MTminimum(+/0.5%)Sumforpaymentguarantee,thisBGshouldbeopenedinfivedaysafterthecontractsigned.AndpayatsightwithcashtransferbyTelegraph...
