EXCLUSIVESUBDISTRIBUTORSHIPAGREEMENTThisAgreement("theAgreement")isenteredintobyandbetween:……………………….(hereinafterreferredas"theDistributor")and…………………………..(hereinafterreferredas"theSupplier")ofthesecondpart(bothofthemhereinaftercollectivelyreferredtoas"theParties")WHEREBYITISAGREEDASFOLLOWS:-2-Clause1TheSupplierherebygrantstheDistributoranexclusiverightasdefinedinClause3topurchaseandreselltheSupplier'sProducts(ashereinafterdefined)withintheTerritoryofGreece,CyprusandtheAlbania.TheDistributorshallpurchasetheProductsfromtheSupplierandsellthemtocustomerswithintheTerritoryinhisownnameandforhisownaccount.TheDistributorshallhavetherighttoappointhisownsubdistributors,subagentsandconsultants.Clause2Intheperformanceoftheduties,thePartiesshallactingoodfaithtowardseachotherandtowardsanythirdparty.Theyshalldischargetheirobligationsincompliancewithsoundbusinesspractice.ThePartiesmaynotwithoutauthorisationpassonorexploitsuchtradesecretsashavecometotheirknowledgeduringthetermofthisAgreement.PRODUCTSANDTERRITORYClause3TheSuppliergrantstheDistributoranexclusiverighttoselltheProductswhicharesoldbytheDis-tributor.TheseProductsareforthemoment:lambskinrollersTheSupplierguaranteestheDistributorthattheProductshesellswillnotbesoldtoanotherdistributorinthefollowingcountries:a)Greece,b)Cyprus,c)Albania.-3-THESUPPLIER'SOBLIGATIONSClause4TheSupplieragreesto:withintheTerritoryonlytosupplytheProductstotheDistributorforsaleintheTerritory;nottosupplytheProductstotheend-userswithintheTerritory,includingconsumers;thatenquiries,ordersandcontracts,etc.concerningsaleswithintheTerritoryshallbereferredtotheDistributor.Clause5a)TheSupplierisobligedtomaintaintheproductsinthegoodquality.b)ThesupplierundertakestodelivertheproductsofthisAgreementtothedistributorin40days.THEDISTRIBUTOR’SOBLIGATIONSClause61)TheDistributorundertakestobuytheaboveamountofproducts:a)Forthefirstyear…150.000pcsb)Forthesecondyear…250.000pcsc)Forthethirdyear……300.000pcsd)Forthefourthyear…..400.000pcse)Forthefifthyear…..500.000pcs2)TheDistributorundertakesnottobuyfromanyotherSupplieranykindoflambskinrollers3)TheDistributorundertakestoreportattheendofeachyearhowtheMarketsperformedinGreece,CyprusandAlbaniaregardingtheproductsofthisAgreement.It,also,undertakestoreportoncompetitionontheMarketandwhatshareitholds.-4-PRICESANDCHANGESINPRICESClause7TheDistributormaydeterminehisownresaleprices.Normally,theSuppliershallnotifytheDistributorofanyfuturepriceincreasestwo(2)monthsinadvance.Termsofsaleanddeliveryshallbeagreedseparately.TheSuppliershallkeeptheDistributorcontinuouslyinformedofanychangesintimesandtermsofdelivery.TERMINATIONOFCONTRACTClause9ThisAgreementshallbeeffecteduntilexecutionbytheauthorizedrepresentativesofbothPartiesandshallremaineffectiveforfive(5)years.ThepresentAgreementshallbeautomaticallyrenewedeachyearaftertheexpirationofitsduration,unlessoneofthecontractingPartiesgivesaterminationnoticetotheotherPartywithregisteredmailandreceiptofmaildeliveryatleasttwo(2)monthspriortotheexpirationthepresentAgreementortheexpirationofeachrenewedperiod.Six(6)monthsbeforetheexpirationofthepresentAgreementeachPartyshallinformtheotherPartyinwritingwithregisteredmailandreceiptofmaildeliveryregardingitsintentiontoextendornotthepresentAgreement.INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedbytheirdulyauth...
