StrategicCo-operationAgreement战略合作框架协议ThisStrategicCo-operationalAgreement(the“Agreement”)ismadeandeffectivethe[XX,2016]本战略合作框架协议（以下简称“协议”）于[2016年X月X日]签订并生效AMONG:【companyname】(the“PartyA”),acorporationorganizedandexistingunderthelawsofthePEOPLE’SREPUBLICOFCHINA,withitsheadofficelocatedat:[companyaddress]Provice,P.R.ChinaAND:【companyname】(the“PartyB”),acorporationorganizedandexistingunderthelawsoftheREPUBLICOFChina,withitsheadofficelocatedat:XXXXXXXX,P.R.ChinaAND:【companyname】(the“PartyC”),acorporationorganizedandexistingunderthelawsoftheKingdomofCambodia,withitsheadofficelocatedat:[companyaddress]签订协议各方有：[公司名字]（以下简称“甲方”），一家依据中华人民共和国法律组建并续存的公司，其营业地址位于：中国，(地址)及：公司名字（以下简称“乙方”），一家依据中华人民共和国法律组建并续存的公司，其营业地址位于：中国，(地址)以及：公司名字（以下简称“丙方”），一家依据柬埔寨王国法律组建并续存的公司，其营业地址位于：公司地址Inconsiderationofthetermsandcovenantsofthisagreement,andothervaluableconsideration,thepartiesagreeasfollows:鉴于本协议所含之相互约定和承诺，订约双方协议如下：1.RECUTALSa.AllpartiesdesiretojointogetherforthepursuitofcommonbusinessgoalsinKingdomofCambodia,includingbutnotlimitedtorailwaytransit,portdevelopment,mining,powersystem,realestates,etc.1b.Allpartieshaveconsideredvariousformsofjointbusinessenterprisesfortheirbusiness.c.Allpartiesdesiretoenterintoaco-operationagreementasthemostadvantageousbusinessformfortheirmutualpurpose.一．事实陈述a.合作各方欲联合起来追求共同在柬埔寨所需的商业目标，包括但不限于铁路交通，港口开发，矿业，电力系统，房地产等。b.合作各方已经就其经营业务考虑了各种形式的合作方式。c.合作各方欲就其互利目标达成一项合伙协议作为其最佳商业形式。2.COMMUNICATIONSTRUCTUREForabetterfuturebusinessdevelopment,PartyAandPartyBshallestablisharegularmeetingscheduleforthebusinessassessment,businessflowandinformationexchange.二．业务沟通交流机制为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。3.CONVENANTAGAINSTREVEALINGTRADESECRETSNopartyshall,duringthecontinuanceoftheco-operationrelationshiporfor5yearsafteritsterminationbyanymeans,divulgetoanypersonnotamemberofbothfirmsanytradesecretorspecialinformationemployedinorconductivetotheco-operationbusinessandwhichmaycometothebothparty’sknowledgeinthecourseoftheco-operationrelationship,withouttheconsentinwritingoftheotherparty,oroftheotherparty’sheirs,administrators,orassigns.三．保守商业秘密的承诺在各方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。4.DURATIONOFAGREEMENTThetermofthisagreementshallbefor5years,commencingon[DATE],andterminatingon[DATE],unlesssoonerterminatedbymutualconsentofthepartiesorbyoperationoftheprovisionsofthisagreement.四．协议期限2本协议期限为[5]年，从[2016年x月x日]开始到[2021年x月x日]结束，除非三方同意或本协议条款规定可终止该协议。5.GOVERNINGLAWTheenforcementandinterpretationofthisagreementshallbegovernedbythelawsofTHEPEOPLE’SREPUBLICOFCHINA.五．法律适用本协议的实施和解释适用于中华人民共和国法律。6.RESOLUTIONOFDISPUTESAnydisputearisingoutiforinconnectionwiththisAgreement,shallbegovernedandconstr...
