Deeply investigating the referent groups ‘loss and gain ， realizing the peasants’ feeling from heart in the land acquisition process， analyzing the reasons of the feeling producing and what the peasants want to resolve urgently， designing the compensation plan that considerate the referent groups’ interests ， which have a significant meaning in carrying on the science oriented development philosophy and really putting the people to the first. A mega construction project which located in south of China is selected as a case analysis in this paper.
