公司治理的董事会责任——以山东东阿阿胶股份有限公司为例摘要：（中英文）本文以山东东阿阿胶股份有限公司为例经介绍其基本公司概况、公司经营规模后，通过 SWOT 分析，深度研究其公司董事会结构、董事会责任与公司治理之间的关系。传统上市公司治理理论的研究聚焦于董事会的独立，进而有效规制控股股东侵占中小股东权益的问题，但忽视了董事会对控股股东和中小股东的权益侵占问题。因此，应从董事会的责任承担、独立董事制度创新、股东选任董事机制改革等多方面进行公司治理的供给侧改革。关键词：董事会；公司治理；权力约束；股东权益英 文 摘 要 ： Taking Shandong dong' e e jiao co., ltd. as an example, after introducing its basic company profile and operating scale, this paper, through SWOT analysis, deeply studies the relationship between its board structure, board responsibilities and corporate governance. The traditional research on the governance theory of listed companies focuses on the independence of the board of directors, thus effectively regulating the issue of controlling shareholders' encroachment on the rights and interests of small and medium shareholders, but ignores the issue of board of directors' encroachment on the rights and interests of controlling shareholders and small and medium shareholders.
