上市公司收购中对中小股东的权益保护的思考摘 要：上市公司的收购行为常使目标公司的中小股东的权益受到侵害，这一现象既有中小股东自身的客观原因，也有来自收购方和目标公司大股东的排挤和侵害。本文从法律救济,公司治理和跨国证券融资保护方面对中小股东权益保护做一简单分析。关键词：中小股东 ,公司,保护Abstract ：The acquisition behavior of listed company often causes the serious invasion to small and medium investors interests who are from target company .the phenomenon not only arises from the objective reasons of small and medium shareholders but also from the invasion of the buyer company and the majority shareholders of the target company .this article mainly talks about the means of protection for the small and medium investors from the legislative protection ,corporate governance and international negotiable securities financing protection.Key words：small and medium investors ，company，protection一、上市公司收购制度概述及中小股东的现状收购的含义有很多，沈四宝教授在他的《西方公司法原理》一书上把它定义为：由收购公司发出要约，购买某个目标公司的部分或全部股票，以便控制该公司的法律行为。[1]很明显收购方是想通过对目标公司的经营来获取比收购成本更高的利润。上市公司的收购涉及多方利益主体，主要包括收购公司方，目标公司控制股东和目标公司中小股东利益。而在这些利益的主体中，目标公司的中小股东常处于不利的地位。这些年，我国上市公司的中小股东一直受到“虚假陈述”、“ 内幕交易”、“ 操纵市场”三座大山的压迫。加之目前我国股东大会制度和监事会制度不完善，董事会缺乏独立性。所以中小股东的声音常常被忽略以及他们的利益也常常被侵害。二、上市公司收购中中小股东的权益受到侵害的原因（一） 中小股东自身的客观情况中小股东拥有的股份相对较少，无法决定公司董事会的部分和全部人选，也无法决定公司的经营管理或者对公司的经营管理产生重大影响的股东，在公司决策和管理方面处于弱势的地位。中小股东比较分散，不易集中，于目标公司的控制股东的相比，在信息的分析上因缺乏财力处于难以分析对方情况的位置。除此之外，我们不能忽视中小股东获取的股...
