咨询服务协议ConsultingServiceAgreement本咨询服务协议（以下简称“协议”）于年—月—日，在由下列双方当事人签署：ThisConsultingServiceAgreement（hereinafterreferredtoasthe“Agreement"）isenteredintoon[DATE]inbyandbetween:（以下简称“甲方”），一家依中华人民共和国法律正式设立和存续的有限责任公司，其法定住所为：(hereinafterreferredtoasthe“PartyA”,alimitedliabilitycompanydulyestablishedandexistingunderthelawofthePeople'sRepublicofChinawithitslegaladdressat与And麦咨达(上海)农业信息咨询有限公司合肥分公司(以下简称“乙方”)，一家依中华人民共和国法律正式设立和存续的有限责任公司，其法定住所为：安徽省合肥市濉溪路278号财富广场1912室。StarFarmConsulting&Co.Ltd.HefeiBranch(hereinafterreferredtoasthe“PartyB”,alimitedliabilitycompanydulyestablishedandexistingunderthelawofthePeople'sRepublicofChinawithitslegaladdressatRoom1912FortunePlaza,No.278SuixiRd.,Hefei,AnhuiProvince,China甲、乙两方共同致力于关于安全、高品质、可追溯性农产品的生产，以及先进农业生产技术的探索、创新推广，并引进良好农业操作规范以及先进经营理念，乙方对甲方从选址、生产、包装、物流、市场进行全方位指导，共同推进先进农产品基地项目建设的顺利发展。双方本着平等、自愿、有偿的原则，订立本协议。WHEREAS,thisagreementstipulatesthetermandconditionsfortheconsultancyserviceofferedbyPartyBtoPartyAinordertoprovidePartyAtheagriculturalproductionofsafety,highqualityandtraceability.AccordingtothestandardofGlobalGAPandadvancedmanagementmethod,PartyBshallassistPartyAinthefieldoffactoryfacilities,productionprocess,package,logisticandmarket.WHEREASPartyBdesirestoaidPartyAbyperformingsuchservices(hereinafterreferredtoas“Services")inthecapacityofanindependentcontractorandnotasanemployeeofPartyB.1.一、服务和技术指导ServiceandTechnicalInstruction甲方义务：ResponsibilitiesofPartyA(1)甲方应提供所有乙方建立和更新网站所需的真实信息给乙方(每批次产品的生长全程控制资料，农户资料，所用农药及饲料状况，产品发货量及价格等)。具体信息可参考网站www.starfarm.com.cn。PartyAshallprovideallitsbusinessandproductioninformationtoPartyBtobeusedinthePartyB’swebsite.Theinformationincludesthecompletegrowthcontroloftheproduct;company'sregisterinformation;pesticideandfeed;deliveryquantityandprice,etc.Thereferenceoftheinformationcanbeobtainedfromwww.starfarm.com.cn.(2)产品在进入麦德龙市场，甲方须联合使用甲方”"品牌和乙方”麦咨达”商标；在同一销售市场，只带有甲方商标的产品不得与带有甲乙方商标或标志的同类或相似产品同时出现.PartyAshallobligatehimselftousethe“StarFarm”trademarkanditsowntrademarkwhensupplyingitsproductstoMETRO.PartyAshallnotsellanyproductssameorsimilartotheproductsbearingthetrademarkof“StarFarm”inthesamemarketwheretheproductsunderthisAgreementaresold.(3)未经过麦咨达允许不能使用麦咨达商标和包装设计。Itisforbiddentouse“StarFarm”trademarkandpackagedesignwithoutauthorizationfromPartyB.(4)未经乙方同意，甲方不得在本协议规定的范围之外使用“麦咨达”标志的商品.PartyAshallnotusethetrademark,i.e.“StarFarm”beyondthescopeasprovidedunderthisAgreementwithoutthepriorwrittenconsentofPartyB.(5)甲方应在与乙方合作的过程中任命一名专业人员为质量经理，质量经理应作为乙方的联系点，并对乙方的建议负责实施；乙方质量经理将帮助指导甲方质量经理的工作。PartyAshalldesignateoneskilledpersonastheQualityManagerduringthetechnicalinstruction.ThisQualityManagerwillbethecontactpersonforPartyB,andcarryingouttheworkadvisedbyPartyB;TheQualityManagerofPartyBshallhelptheQualityManagerofPartyAto...
