煤炭类僵尸企业的形成与处置方式研究摘 要“煤炭类僵尸企业”的特点是不具备自主发展能力与社会贡献能力，无法生产效益。这一类型的企业在经济转型的过程中，必将会列入“劣淘汰”的名单。因为“煤炭类僵尸企业”具备周期较长的依赖性、勒索性等特征，与常见的问题企业相比，该类型企业即便通过政府或银行的帮助，也无法重新进入正常的运营状态。且该类型企业的存在，对市场造成严重影响，甚至遏制了新企业、新技术的发展。如果要帮助“煤炭类僵尸企业”解决问题，就必须派遣专业人员、专业团队与其沟通、交流，但是置之不理的后果更加严重。在这样的情况下，原先可用于投资新企业，以及相关税务劳动力等资金，均有可能被该类型企业霸占。基于此，笔者认为对“煤炭类僵尸企业”的研究迫在眉睫。本文也会针对该类型企业的国内外研究现状与相关影响加以阐述，再分析目前存在的问题，制定出合适的处置方案。可借鉴美国、日本等国家处理该类型企业时的方式作为参考，通过并购重组、托管经营、扶持发展、破产退出等方式，选择正确的处置方案，尽可能解决或减少由于“煤炭类僵尸企业”引起的负面影响。关键词：煤炭类僵尸企业；处置；政府；并购重组Study on the formation and disposal of coal zombie enterprises AbstractThe characteristics of "coal zombie enterprises" are that they do not have the ability of self-development and social contribution, and can not produce benefits.
