常年法律顾问合同AgreementonRetainingLegalCounsel客户与律师事务所友好协商，达成如下协议。ThisAgreementisherebyenteredintobyandbetweentheClientandthethroughfriendlyconsultation.TheClientandtheattorneyagencyagreeasfollows,第一条律师根据客户要求，律师所指定律师担任客户之常年法律顾问（以下称“法律顾问”）。必要时，律师所在取得客户书面同意后可指定本所其他律师协助或者代为处理相关事务。本条款不得解释为客户与律师所或者法律顾问之间已建立劳动关系，任何时候律师所均被视为独立的服务提供商。Article1AttorneysAsrequestedbytheClient,theattorneyagencyshalldesignateAttorneyMr.toactasthelegalcounselsoftheClient(hereinafterreferredtoasthe“LegalCounsel”).Ifnecessary,theattorneyagencymaydesignateotherattorneysunderitsemploymentassupplementalorsubstituteattorneyswithpriorwrittenconsentoftheClient.NothingcontainedhereinshallbeconstruedascreatingtherelationshipofemployerandemployeebetweenPromise/LegalCounselandtheClient.Promiseshallbedeemedatalltimestobeanindependentcontractor.第二条律师所应提供的法律服务Article2ServicestoBeProvidedbytheattorneyagency律师所提供以下服务（下称“法律服务”）Theservices(hereinafterreferredto“LegalServices”tobeprovidedbytheattorneyagencyareasfollows.一、非讼事务.Non-litigationaffairs1、为公司日常经营、管理提供法律意见、建议。ProvideregularlegaladviceforthebusinessoperationandmanagementoftheClient:2、审查、修改以及草拟合同、公司章程、公司规章、申请等法律文件。AnswerquestionsonlegalissuesoftheClient,andupontheClient’srequestissue“LegalOpinionLetter”.3、应公司要求参加企业股东大会、董事会等会议并提供法律意见、建议。Providelegaladviceontheissuesrelatingtotheproduction,operationandmanagementoftheClient.4、一般情况，在24小时内回应客户提出的问题，对于客户提出的涉及复杂和重大的问题，在60个在小时内回应。Ingeneral,theattorneyagencyshallresponsewithanswertotheClient’squestionswithin24hours;asforcomplexandsignificantlegalissues,theattorneyagencyshallresponsewithanswertotheClient’squestionswithin60hours.5、为公司处理工商、税务、商务、海关、环保等事务提供法律意见、建议。6、参加商务谈判并提供法律意见、建议。AttendtheClient’sbusinessnegotiationandproviderelatedlegalsuggestionsifrequested.这个条款还可以如下处理：应邀参加客户的商务谈判。TakepartinthenegotiationsbetweentheClientanditscustomersifrequested:或者ParticipateincommercialnegotiationsupontheClient’srequest.7、为客户的商务规划和财务计划提供书面或口头的法律意见。OfferwrittenandoralinitiallegalopinionoradviceoncommercialplansorfinancingplansoftheClient.8与客户一起或者代表客户参加与第三方的会谈。AttendmeetingswiththeClientorthirdpartiesonbehalfoftheClient.9为客户制定、修改内部管理体系、劳动合同和培训合同、内部协议。Establish,modifyorreviewtheinternalmanagementsystem,laborcontract,andrelevanttrainingcontractandnon-disclosureagreementsfortheClient;10起草、修改客户的合同以及其他与经营有关的法律文件。Draft,reviewormodifycontractsandotherlegaldocumentsinrelationtothebusinessoperationandmanagementoftheClient.11就知识产权保护提供法律意见、建议，包括专利权、商标、商业秘密以及特许经营等。OfferlegalopinionoradviceontheprotectionofintellectualpropertyrightsoftheClient,includingbutnotlimitedtopatentright,trademarkright,copyright,tradesecretandfranchise.12就生产、经营以及管理事宜向第三方出具律师函，并回应第三方出具的律师函。Issue“Lawyer’sLetter”tothirdpartiesontheissuesrelatingtotheproduction,operationandmanagementoftheClient,andre...
