上海市产权交易合同示范文本SHANGHAIASSETSANDEQUITYEXCHANGECONTRACT上海市工商行政管理局上海市产权交易管理办公室PresentedbyShanghaiMunicipalAdministrationofIndustryandCommerceShanghaiAdministrationOfficeofAssetsandEquityExchange合同使用须知NoticetoUsethisContract一、本合同文本是根据《中华人民共和国合同法》、《企业国有产权转让管理暂行办法》和《上海市产权交易管理办法》制定的示范文本。构成本合同示范文本要件的合同条款均为提示性适用条款。条款所列内容，包括括号中所列内容，均由合同当事人约定时选择采用。ThisContractversionisamodeleditionmadeinaccordancewith“ContractLawofPRC”,“InterimProceduresonAdministrationofEnterprisesState-OwnedEquitiesTransfer,PRC”,“ProceduresofShanghaiMunicipalonAdministrationofEquityExchange”.Allofthetermsandclauses,composingtheessentialsofthisContract,arethemodelandapplicableprovisionsofthecontract.Thepartiesmayselecttoadoptthecontentslistedinthetermsandclauses,includinginparentheses,accordingtotheiragreement.二、为更好地维护各方当事人的权益，签订合同时应当慎重，力求具体、严密。订立具体条款，需要约定的必须表述清楚，无须约定的用“本合同不涉及此条款”或“本合同对此条款无须约定”加以载明。Toprotecttherightsandprofitsofeachparty,itisrequiredthatpartiesshallbecarefulandtheprovisionsshallbespecificandtightwhenthepartiessignthisContract.Whennegotiatinganyspecificarticles,thestatementsmustbemadeclearlyiftheprovisionsneedtobeagreed,andthewording“thisContractdoesnotinvolvethisprovision”or“itisnotnecessarytoagreeonthisprovisioninthisContract”shallbespecifiediftheprovisionisnotnecessarytobeagreedupon.三、出让人：指转让标的的产权所有人、产权出资人或资产处置人。“Transferror”meanstheowneroftheassetsandequitytobetransferred,equitycontributororthepersonwhoisentitledtodisposetheequityassets.四、受让人：指通过上海联合产权交易所，以协议转让或拍卖或招投标等方式有偿取得产权的法人或自然人或其他组织。“Transferee”meansthelegalpersonorindividualorotherentitieswhoacquiredtheassetsandequitywithconsiderationbymeansofatransferagreementorauctionorbiddingandthelike.viaShanghaiUnitedAssetsandEquityExchange(hereinafterreferredto“SUEE”),五、合同涉及当事人基本概况的填写：应按合同文本要求载明，企业类型按出让人、受让人的营业执照所确定的类型填写。当事人如系自然人的，应载明其姓名、国籍、身份证号码（护照号码）、居住地址、邮编、电话、开户银行帐号等。合同涉及的出让人、受让人是多方的，均应分别载明。FillingthebasicinformationofthepartiestothisContract:itisrequiredtospecifythenatureoftheenterprisesofTransferorandTransfereeaccordingtothenaturespecifiedintheirBusinessLicenses.Foranindividual,he/sheshallitemizehis/hername,nationality,IDcardNo.(PassportNo.),residentaddress,postalcode,telephoneNo.,bankaccountandsoon.IncasethattherearemorethanonetransferorandtransfereetothisContract,itisrequiredtospecifytheirinformationrespectively.六、产权转让的标的：指法人、自然人或其他组织合法拥有的产权（整体或部分），包括土地使用权、房屋建筑、设备、车辆、技术项目、商标权、专利权等。TheSubjectofAssetsandEquitytobetransferred:meansthepropertyrightofassetsandequity(whollyorpartially)legallyownedbythelegalperson,individualorotherentities,includingLand-UseRight,Real-estateandPremises,FacilitiesandEquipments,Automobiles,TechnologyProjects,Trademark,Patentandthelike.七、转让价格：企业国有产权转让必须经资产评估确认后，作为转让价格的参考依据。未经资产评估直接以竞价或协议方式确定价格的，一般只适用非公有经济性质的...
