本科论文摘 要互联网时代的发展为企业并购活动的拓展提供了载体，尤其在近五年我国企业并购活动的发展进入蓬勃增长新阶段，并购质量、并购规模、并购形式层出不穷喷涌而发，并购越来越不失为企业扩展业务、占领市场的有效手段。为企业带来巨大收益的同时也伴随着不可预测的风险，尤其是与之息息相关的财务风险。本文主要通过经典案例——携程并购去哪儿，追踪并购前企业间激烈的竞争、并购动因、并购过程，通过财务指标变化分析携程与去哪儿在并购前、中、后面对的财务风险，解读对企业运营方式、财务结构等方面的影响，提出企业预防并购财务风险控制性的措施，以期为互联网在线旅游行业并购的财务风险提供一定的借鉴参考，降低并购失败率，推动并购企业稳定持续发展。关键字：互联网企业，并购，财务风险本科论文AbstractThe development of the internet era provides a carrier for the expansion of enterprise mergers and acquisitions(M&A). Especially in the past five years, the development of M &A activities in China has entered a new stage of vigorous growth, the quality, scale and form of M&A emerge in an endless stream. M&A is becoming more and more effective way for enterprises to expand business and occupy market. While bringing huge profits to the enterprises, M&A also accompanied by unpredictable risks, especially the financial risks closely related to it. The article mainly through a classic case—CTRIP M&A QUNAR to track the fierce competition between enterprises before M&A, the M&A motivation and M&A process. This paper analyzes the financial risks that CTRIP and QUNAR faced before, during and after the M&A through the change of financial indicators, interprets the impact on the operation mode and financial structure of enterprises, and puts forward some measures to prevent the financial risk control of M&A.
