本科论文摘 要作为我国国民经济的支柱产业之一的房地产行业对国民经济的影响深远,房地产行业的能否健康发展很大程度上影响着国民经济能否健康持续发展。本文研究目的在于为房地产企业后续并购提供实践参考和经验借鉴,更好地适应日益活跃的房地产并购市场,充分发挥并购的协同效应,改善经营绩效,提高在行业中的竞争力;同时政策制定者和监管部门也应加强关于并购重组的法制建设,规范房地产公司的并购行,加大对并购市场的监管力度,保证资本市场的持续性和有效性。除此之外,本文通过梳理企业并购动因、并购风险和风险的防范等相关文献可以发现,西方国家在企业并购动因和并购风险等相关研究上己经形成较为成熟的体系,而我国基本还处于发展探索阶段,尤其是对于风险防控方面缺乏有力的观点,而专门研究房地产行业并购的就更少。并且房地产行业与其他行业有一个很大不同点,它容易受国家政策调控影响,时效性较强。因此,本文针对以上不足,联系当前房地产行业现状,对其并购动因、风险和风险防控措施进行探究。在研究方法上,本文主要采用文献分析法和案例分析法。首先,在充分查找国内外对并购研究资料的基础上进行归纳总结,剖析当前我国房地产业并购浪潮背后的动因及面临的风险和风险产生的原因。其次,围绕融创中国收购万达文旅项目这一案例进行分析,分析其并购动因、并购的影响、并购中遇到的风险及风险产生的原因,最后提出相关对策以供同行业参考,促进我国房地产市场良性发展。关键词:融创中国;并购;万达文旅本科论文 AbstractAs one of the pillar industries of China's national economy, the real estate industry has a far-reaching impact on the national economy.
