第1页共11页编号：时间：2021年x月x日书山有路勤为径，学海无涯苦作舟页码：第1页共11页（AdoptedbytheFourthExecutiveMeetingoftheStateCouncilonMay13，1988，promulgatedbyDecreeNo.1oftheStateCouncilofthePeople'sRepublicofChinaonJune3，1988，andeffectiveasofJuly1，1988）颁布日期：19880603实施日期：19880701颁布单位：国务院ChapterIGeneralProvisionsArticle1InaccordancewithrelevantprovisionsoftheGeneralPrinciplesoftheCivilLawofthePeople'sRepublicofChina，thepresentRegulationsareformulatedwithaviewtoestablishingasystemforcontrollingtheregistrationofenterprisesaslegalpersons，confirmingtheirstatusassuch，safeguardingtheirlegitimaterightsandinterests，stampingoutillegalbusinessoperations，andpreservingsocialandeconomicorder.Article2AnyofthefollowingenterpriseswhicharequalifiedaslegalpersonsshallregisterassuchinaccordancewiththerelevantprovisionsofthepresentRegulations：（1）enterprisesownedbythewholepeople；（2）enterprisesundercollectiveownership；（3）jointlyoperatedenterprises；（4）Chinese-foreignequityjointventures，Chinese-foreigncontractualjointventuresandforeign-capitalenterprisesestablishedwithintheterritoryofthePeople'sRepublicofChina；（5）privatelyoperatedenterprises；（6）otherenterprisesrequiredbythelawtoregisteraslegalpersons.Article3ThoseenterprisesapplyingforregistrationaslegalpersonsshallbegivenBusinessLicensesforEnterprisesasLegalPersonsandthestatusoflegalpersonswhentheirapplicationsforregistrationhavebeenexaminedandapprovedbytheauthoritiesinchargeoftheregistrationofenterprisesaslegalpersonsandtheirlegitimaterightsandinterestsshallbeprotectedbylawsoftheState.Thoseenterprises，whicharerequiredbylawtoregisteraslegalpersonsbutwhichhavenotgonethroughtheproceduresofexaminationandapprovalregistrationbytheauthoritiesinchargeoftheregistrationofenterprisesaslegalpersons，shallnotbeallowedtoengageinbusinessoperations.第2页共11页第1页共11页编号：时间：2021年x月x日书山有路勤为径，学海无涯苦作舟页码：第2页共11页ChapterIIRegistrationAuthoritiesArticle4Theauthoritiesinchargeoftheregistrationofenterprisesaslegalpersons（hereinafterreferredtoastheregistrationauthorities）aretheStateAdministrationforIndustryandCommerceandadministrativedepartmentsforindustryandcommerceatvariouslevels.Registrationauthoritiesatvariouslevelsshallperformtheirfunctionsaccordingtolawundertheleadershipofhigherregistrationauthoritiesandbefreefromunlawfulinterference.Article5Theregistrationofnationalcorporations，enterprisegroupsandcorporationshandlingimport-exportbusinesssetupwiththeapprovaloftheStateCouncilordepartmentsauthorizedbytheStateCouncilshallbeexaminedandapprovedbytheStateAdministrationforIndustryandCommerce.TheregistrationofChinese-foreignequityjointventures，Chinese-foreigncontractualjointventuresandforeign-capitalenterprisesshallbeexaminedandapprovedbytheStateAdministrationforIndustryandCommerceorbylocaladministrativedepartmentsforindustryandcommerceauthorizedbytheStateAdministrationforIndustryandCommerce.Theregistrationofson（orbranch）companiesofnationalcorporations，enterprises，enterprisegroupsorcompanieshandlingimport-exporttradeestablishedwiththeapprovalofthepeople'sgovernmentsofprovinces，autonomousregionsormunicipalitiesdirectlyundertheCentralGovernmentordepartmentsauthorizedbythemshallbeexaminedandapprovedbytheadministrativedepartmentsforindustryandcommerceoftheprovinces，autonomousregion...
