WOODCHIPSUPPLYAGREEMENTContractNo:合同号Date:日期:Buyer:买方：Address:地址：Tel电话:Fax传真:E-mail:Seller:Address:地址：Tel电话:Fax传真:E-mail:BythisagreementtheSelleragreestosellanddelivertotheBuyer,andtheBuyeragreestobuyandtakedeliveryofwoodchip,subjecttoandonthefollowingtermsandconditions:按照合同规定，卖方同意卖给买方，买方同意购买卖方此合同中捕述的木片，具体条款如下：1.DEFINITIONS（定义）Unlessthecontextotherwiserequires,thefollowingtermsshallhavethemeaningsrespectivelyassignedtothem:除非本合同中另有要求，否则下利术语分别定义如下：“Arrived”meanshavingsetanchorinthecustomordesignatedwaitingareaattheloadingpoint.“抵达”指在装货港的海关或指定的区域拋锚。“BDMT”meansbonedrymetrictonneof1,000kilogramsofwood.“BDMT”指1000千克绝干吨木材。“Dollars”and“cents”meansrespectivelydollarsandcentsinthelawfulcurrencyoftheUnitedStatesofAmerica.“美元”和“美分”分别指美国法定贷币的美元和美分。“FOBST”指卖方负担理舱和平舱的费用。“Forcemajeure”meansanyoftheactsoreventsdescribedinClause10.“不可抗力“找第10条款所述的情况或出现的时件。“GMT”meansgreenmetrictonneof1,000kilogramsweightofgreenorundriedchips.“GMT”指1000千克鲜木片的重量。“Hardwoodchip”meanschippreparedbytheSelleratitsmillfortheproductionofpulpandpaper.“硬木片”指卖方生产的用于制浆造纸的木片。"LAYCAN”meansthe廿meperiodduringwhichthevesselcarryingthecargounderthisagreementisnominatedtoarriveattheloadingport.“LAYCAN”指船制装载本合同中确定的货物指定到达装船港的时间。"Loadingport”meansSeller'swoodchiploadingwharfatGoksichangPort.“装船港”指卖方在泰国郭诗仓港口。2.QUANTITIESANDPERIOD（数量和期限）2.1QualityandQuantity（质量和数量）Supply20,000BDMT+/-5%ofEucalyptuswoodchip.（5Percenttoleraneeisallowed）供应数量为，+/-5的桉木木片（充许5%的港短装）。2.2.（Latestdateofshipment）最晚装运日期：Within45daysaftertheSellerreceiveL/CissuedbytheBuyer.卖方收到由买方开出的信用证后45日内装运。3.SPECIFICATIONS（规格）3.1ChipswillconsistofwoodfromThailandEucalyptuswoodchip.木片品种为泰国桉木木片。3.1.1Size（尺寸）-Amaximumof5%ofchipsshallbeinexcessof28.6mminlength.-Aminimumof90%ofchipsshallbebetween4.8mmand28.6mm.-Amaximumof4%ofchipsshallbelessthan4.8mminlength.-Chipswillcontainmaximum1.0%barkandrotandnilcharcoal.长度大于28.6毫米的木片不超过5%长度4.8毫米-28.6毫米不小于90%长度小于4.8毫米的木片不超过3%木片中树皮和磨朽含量不超过1.0%,且不含有木灰。3.1.2Contamination（杂质）Woodchipwillbesuitablefortheproductionofpulpandpaperinaccordaneewithcustomaryindustrypractice,andwillnotcontaincontaminantssuchasplastic,charcoal,rubber,bitumen,metal,andfreefromotherforeignmaterialsuchasstoneandsand.木片应将合行业进常的制装纸生产要求，不包括以下杂质，如、塑料、木灰、橡胶、金属、其它外来杂质，不含石头和沙子。3.2NonConformaneetoSpecifications规格不一致TheSellerwilluseeveryreasonableendeavourtoensurethatasfaraspracticablewoodchiptobedeliveredunderthisAgreementshallconformtothespecificationsin3.1.InthecaseoftheSeller'sfailuretomeetthesaidspecification,theSellershouldcompensatethepriceofthispartialwoodchipandotherpaymentsreceivedforthedefectiveportionoftheshipmentofwoodchip.卖方应尽力保证使木片将合本合同3.1条款规定的木片规格，如果卖方不能满足上述的木片规格，卖方应赔偿这一部分木片的价格和因接收这些不将木片造成的莫它费用。4.PRICE（价格）4.1ThepricepayablebytheBuyertotheSellerfromLamchabangPortorGohsichangPort,ThailandtoLianyungangPort,Chinais:USD/B...
