关于修改《关于外国投资者并购境内企业的规定》的决定商务部令2009年第6号为保证《关于外国投资者并购境内企业的规定》与《反垄断法》和《国务院关于经营者集中申报标准的规定》相一致，对《关于外国投资者并购境内企业的规定》作如下修改：一、删除第五章“反垄断审查”，在“附则”中新增一条作为第五十一条，表述为：“依ProvisionsonMergerandAcquisitionofDomesticEnterprisesbyForeignInvestorsMinistryofCommerceOrderNo.(2009)622June2009ForthepurposeofensuringtheconsistencybetweentheProvisionsonMergerandAcquisitionofDomesticEnterprisesbyForeignInvestorsandtheAnti-monopolyLawandtheProvisionsofStateCouncilonDeclarationThresholdforConcentrationofBusinessOperators,theProvisionsonMergerandAcquisitionofDomesticEnterprisesbyForeignInvestorsisamendedasfollows:1.Chapter5“Anti-monopolyExamination”shallbedeleted,anadditionalarticleshallbeaddedasArticle51inthe“SupplementaryProvisions”toreadas“Pursuantto据《反垄断法》的规定，外国投资者并购境内企业达到《国务院关于经营者集中申报标准的规定》规定的申报标准的，应当事先向商务部申报，未申报不得实施交易。”此后条文、章节顺序依次调整。二、对以下条款作文字修改：（一）将第十六条第四款中“外国投资者并购境内企业设立外商投资企业，如果外国投资者出资比例低于企业注册资本25%theprovisionsoftheAnti-monopolyLaw,wherethemergerandacquisitionofadomesticenterprisebyaforeigninvestorattainsthedeclarationstandardstipulatedintheProvisionsofStateCouncilonDeclarationThresholdforConcentrationofBusinessOperators,adeclarationshallbemadeinadvancewiththeMinistryofCommerce;notradingshallbemadeifthedeclarationisnotmade.”ThenumberingofarticlesandchaptersfollowingthisArticleshallbeadjustedaccordingly.2.Thefollowingamendmentsshallbemade:(1)Thesentence“Inthecaseofmergerandacquisitionofadomesticenterprisebyaforeign的，投资者以现金出资的，”修改为“外国投资者并购境内企业设立外商投资企业，如果外国投资者出资比例低于企业注册资本25%，投资者以现金出资的”。（二）将第三十六条第一款“自营业执照颁发之日起6个月内，如果境内外公司没有完成其股权变更手续，则加注的批准证书和中国企业境外投资批准证书自动失效，登记管理机关根据境内公司预先提交的股权变更登investorforincorporationofaforeigninvestmententerprise,whereasthecapitalcontributionoftheforeigninvestorislessthan25%oftheregisteredcapitaloftheenterprise,andtheinvestormakescapitalcontributionincash”inthefourthparagraphofArticle16shallbeamendedtoreadas“Inthecaseofmergerandacquisitionofadomesticenterprisebyaforeigninvestorforincorporationofaforeigninvestmententerprise,wherethecapitalcontributionoftheforeigninvestorislessthan25%oftheregisteredcapitaloftheenterpriseandtheinvestormakescapitalcontributionincash”.(2)Thesentence“Wherethedomesticcompanyandthe记申请文件核准变更登记，使境内公司股权结构恢复到股权并购之前的状态”，修改为“自营业执照颁发之日起6个月内，如果境内外公司没有完成其股权变更手续，则加注的批准证书和中国企业境外投资批准证书自动失效。登记管理机关根据境内公司预先提交的股权变更登记申请文件核准变更登记，使境内公司股权结构恢复到股权并购之前的状态。”（三）将第四十overseascompanydonotcompleteequitychangeformalitieswithinsixmonthsfromthedateofissuanceofbusinesslicence,theannotatedapprovalcertificateandtheapprovalcertificateforoverseasinvestmentsofChineseenterpriseshallbecomevoidautomatically,theregistrationadministrationauthoritiesshallverifyandapprovechangeregistrationpursuanttotheapplicationdocumentsforequitychangeregistrationsubmittedbythedomesticcom...
