民营企业上市公司并购融资模式研究——以美的集团并购小天鹅为例摘要随着我国的改革越来越深入，各行各业都在高速发展，纵然我国的企业的各种基本起步比外国晚，但是我国的市场庞大，人口众多，所以我国的企业基本都能飞快的发展起来，而其中的制造业则是我国发展得最好的一个行业。而其中的家电企业则是以为首的几家企业为目标正在以各种手段发展中。而其中的美的集团则是运用着并购融资的办法在迅速的扩展中。此次论文研究民营上市企业的并购融资模式，以制造业中发展得很好的美的集团为例，先是之前的文献进行简要的叙述，再以一般的并购融资概念来支撑，并与美的集团和小天鹅在融资前后及过程的数据来研究，最后再分析这种并购融资模式（换股吸收合并）的问题与建议。关键词：并购融资;美的集团;小天鹅；融资模式Research on the financing mode of M & A of Listed Private Enterprises-- Take the merger and acquisition of Little Swan by Midea Group as an exampleAbstractWith the deepening of China's reform, all walks of life are developing at a high speed.
