中文摘要企业价值实现最大化是一个公司运营的最终目的，在实现企业价值最大化的过程中需要许多方法，比如公司治理的方法，而资本结构是公司治理的基础，其中，债务融资在公司的资本结构中占有重要比重，所以对债务融资进行研究对于完善公司治理，提高公司绩效从而实现企业价值最大化有重要作用。随着我国经济体制改革的深入和资本市场的日益完善，尽管企业资本结构虽已成为各类学科的研究热点，但多数偏于股权融资方面，进行负债融资研究不仅数量少，研究内容也偏于实证性，缺乏对债务融资的宏观研究。本文试图从负债融资的角度对企业价值最大化问题进行分析，试图在理论构建的基础上，通过相关的理论分析与实证举例，分析我国企业当前负债融资的现状与特点，并提出相关建议。关键词: 负债融资 企业价值最大化 资本结构 AbstractMaximizing enterperprise value is the ultimate goal of a company’s operating, in the process of enterprise value maximization, debt financing occupies an important share in the company’s capital structure, so the study of debt financing to improve corporate governance, improve corporate performance to maximize the enterprise value play an important role.
