论隐名股东的权利保护——以公司法司法解释三规定为切入点［摘 要］随着社会的发展，隐名投资现象日益普遍，隐名股东的法律问题也层出不穷。最高院出台的司法解释虽然对隐名股东的资格认定以及权利保护作出了规定，但并未形成完善的隐名股东权利保护体系。因此，在隐名股东权利保护过程中常会出现股东资格归属混乱、权利受限等诸多问题。针对隐名股东权利保护的现状，应推进立法工作健全隐名股东身份制度，并通过构建隐名出资公证制度以及引入股权信托制度来完善隐名股东权利保护体系，从而更好的保护隐名股东的权利。［关键词］隐名股东；显名股东；股东资格；权利保护[Abstract]With the development of society, the phenomenon of dormant investment is becoming more and more common. The legal problems of dormant shareholders are also endless. Although the judicial interpretations of the Supreme Court have stipulated the qualification of the dormant shareholders and the protection of rights, they have not formed a perfect protection system for the rights of the dormant shareholders. Therefore, in the process of protecting the rights of the dormant shareholders, there are many problems such as the confusion of the ownership of the shareholders and the limited rights.
