企业资产并购法律顾问合同(中英文)ACONTRACTOFASSETPURCHASELEGALCONSULTANT甲方：PARTYA：地址：ADDRESS:电话TEL：传真FAX：联系人LINKMAN:联系人电话LINKMAN’STEL:传真FAX:联系人电子邮箱：LINKMAN’SE-MAIL:乙方：PARTYB(某律师事务所)地址：ADDRESS:,电话TEL：传真FAX：联系人LINKMAN：联系人电话LINKMAN’S传真FAX：联系人电子邮箱LINKMAN’SE-MAIL：甲方因业务需要，根据《中华人民共和国律师法》的有关规定，聘请律师事务所（以下简称乙方）律师担任甲方在并购业务过程中的法律顾问。经双方协商订立本合同，共同遵守执行。ThiscontractismadeandenteredintobyandbetweenPartyAandPartyBforthepurposeofPartyA’sbusinessneedandbasedontheregulationsofALAWOFLAWYEROFPEOPLE‘SREPUBLICOFCHINA.PartyAretaintheattorneyofParty’BaslawconsultantforthebusinessofinthemainlandofChina.Byamutualagreement,bothPartiesshallabideandexecutethiscontract.一、聘请法律顾问RETAINALEGALCONSULTANT1.1乙方同意接受甲方聘请，指派以等律师及其助理人员构成的律师团队为甲方在中国大陆并购企业（以下简称：并购企业）工作的法律顾问。乙方遵照中华人民共和国法律法规和本合同所规定的条款，依法维护甲方的合法权益。1.1PartyBaccepttheretainofPartyAandappointanattorneyteamformedoflawyer,otherlawyersandtheirassistantsengagedintheworksofconsultantforPartyA’sinvestmentandpurchasingenterprisesinthemainlandofChina.PartyBshallcompliedtheprovisionsoflawsandregulationsofPeople’sRepublicof‘ChinatomaintenancePartyA’slegalrightsandinterests.1.2为了便于工作的开展，双方各指定一名工作联系人，随时保持联系。甲方指定为专项工作联系人；乙方指定专项工作联系人。1.2Fortheperformanceofthiscontract’sdutiesandexecutionofconsultant,eachPartyappointalinkmantokeeplinkingeachotheratalltimes.PartyAappointasthelinkmanandPartyBappointaslinkman.二、双方职责EACHPARTY’SRESPONSIBILITIES2.1乙方指派的顾问律师不得违反律师职业规范及《中华人民共和国律师法》的有关规定，在涉及到与甲方有对抗性的案件中未经甲方同意不得担任与甲方有冲突的另一方的委托代理人。2.1PartyB’sattorneyshallnotdisobeytheregulationsofPeople’sRepublicof‘China,shallnotassumetheengagementofadversary’sentrustinanyantagonisticaction.2.2委托顾问律师对其获知的甲方的商业秘密或者甲方个人隐私负有保密责任，未经甲方同意不得以任何方式对外披露。2.2AllconfidentialinformationonPartyA‘sbusinessorpersonalobtainedbyPartyB’sattorneyshallbeheldinstrictconfidenceandshallnotbeprovidetoanyotherpartywithouttheconsentofPartyA.2.3甲方应当真实详尽和及时地向乙方律师叙述情况，提供完整的真实的文书资料，并向顾问律师讲明工作的真实目的及具体要求。2.3PartyAshallrecounttrue,completeandexplicitinformationtoattorney,providefullandauthenticdocumentsandmakecleartherealpurposeaswellasconcreterequirements.2.4甲方认为顾问律师工作不尽责或者违反顾问合同的行为，应及时书面告知乙方，也可书面要求乙方更换顾问律师。甲方不得强行要求顾问律师做法律禁止性工作。2.4Whereconsideringattorneyneglectofdutyordisobeythiscontract,PartyAshallinformPartyBorrequiretochangeattorneybywrittennotice.PartyAshallnotrequestattorneytodotheworkprohibitedbylaw.三、乙方法律顾问工作内容THEWORKINGITEMSOFCONSULTANT3.1、参加并购业务的商务考察、商务谈判、代为起草或者审查法律文书，视情况为甲方公司及董事会提出书面或口头法律意见。3.1Totakepartinthecommercialreview,negotiationanddraftoutorexamlegaldocuments,toprovideoralorwrittenlegalopinionstoPartyA’sCompanyandDirectorBoardaccordingtospecificconditions.3.2、协助甲方财务工作人员认定并购企业的资产的真实性及合法性，指导并参与对并购企业的相关资产转让接受手续，协...
