电子合同订立中的法律问题研究【摘要】随着交易逐渐电子化，电子合同成为电子交易的基础，与电子合同有关的法律问题冲击着现有立法体系，本文将重点研究电子合同订立中的法律问题。结合了国内外的相关立法规定后，笔者就电子合同概念与特征、国内相关立法发展合同主体问题、订立方式和成立问题展开分析。合同主体问题关乎合同是否有效电子要约和电子承诺的生效时间，我国采用到达主义，但其撤回、撤销问题要视具体情况分析；合同成立的地点，视收件人营业地为准。本文在分析了电子合同相关法律问题后，就完善电子合同法律问题提出措施。【关键词】未成年人电子合同效力；数据电文归属；收讫确认；电子合同成立时间Study on legal problems of electronic contracts[Abstract] As transactions are getting electronically, electronic contracts have become the center of e-commerce activities. However, some legal problems related to electronic contracts can’t be solved based on the existing laws. So in this dissertation, the author will focus on some legal issues about e-commerce contracts. After learning the international and domestic legislation, this article talks about the definition and characteristics of electronic agreements, the legislation development within china. Particularly, the writer analyzes the identity of main parties, establishment ways and the establishment of contracts. The identity of main parties matters the effect of contracts. Meanwhile, the effective time of electronic offer and electronic acceptance is complied with the arrival doctrine. However, the withdrawal and revocation of them is more complicated and should be judged specifically. When it comes to the establishment place, it usually considers place of business of the receiver.
