SERVICECONTRACTContractNo.PartyA:(Supplier)PartyB:(Receiver)______Co.,Ltd.andtheMember,intendingtobelegallybound,andinconsiderationofthemutualpromisesandcovenantscontainedherein,agreeasfollows:1.ItemofserviceThe“Service”hereinreferredto,isthe______.2.ApplicationPartyAmayinitsabsolutediscretionreservetherightstorejectanyapplicationwithouttheneedtogiveanyreason.UpontheapplicationacceptedbyPartyAandtheApplicant’scomplianceofthisContract,theApplicantbecomesaMember.TheCompanyagreestoprovidetheServicetotheMemberandwarrantstocontinuouslyupdatetheinformationprovidedintheService.TheApplicantmustwarrantthat:(1)allinformationprovidedbytheApplicantisaccurate,completeandcurrent;(2)theContract,whenconcluded,constituteslegalobligationsthatarebindingandenforceable;(3)theApplicanthasobtainednecessaryauthorizationtosigntheContract.3.PriceandPaymentTerms(1)PartyBagreestopaytheamountofservicefeesforthefixedtermofserviceaslistedintheContracttoPartyA.(2)UponreceivingthesignedContractandremittancecredence,PartyAshallsendtheloginaccountIDandpasswordtothememberwithinaworkingday.Ifthereisnotadvancepayment,themembershallpaythefundswithintenworkingdaysafterreceivingtheloginaccountIDandpasswordbyanyoftheprescribedmethodsassetintheSubscriptionForm.4.Disclaimers(1)PartyAisnotresponsibleforanyinterruptionofServiceduetoproblemsoccurredontheInternetplatformoranyotherreasonsthatcannotbecontrolledbyPartyA.PartyAshallmakeefforttoliaisewithitsProviderinordertorestoretheServiceassoonaspossible;(2)PartyAwillnotberesponsiblefortheinterruptionofServiceowingtoordersofgovernmentauthoritiesorjudicialbodies.PartyAagreestorefundthepaidfeesproratatotheremainingsubscriptionperiod;(3)PartyBagreestocompensatePartyAanylossattributabletothefaultofthePartyB;(4)Twopartiesagreethatallclaims,shallbelimitedtodirectdamagesduetothebreachofthisAgreement.Innoeventshalleitherpartybeliabletotheotherforanypenalty,consequential,indirect,specialorincidentaldamagesincluding,butnotlimitedto,lossofprofitorlossoftechnologyoroperationrightsorlossofbusinessrights.5.BreachofcontractIntheeventthateitherPartybreachesanyprovisionoftheContractthatresultsintheotherpartyincurringeconomiclosses,thepartyinbreachshallbeliabletocompensatetheotherpartyforthecorrespondingeconomiclosses.6.JurisdictionandLawsuitThisContractisconstructedandtobeexecutedandinterpretedbythelawsofthePeople’sRepublicofChina.Anycontroversyorclaimarisinghereunderthatcannotberesolvedbythepartiesthemselves,shallbesettledbyarbitrationinChina,Anyawardrenderedthereonshallbeinwritingandshallbefinalandbindingonthepartiesandjudgmentmaybeenteredthereoninanycourtofcompetentjurisdiction.Eachpartyshallbearitsowncostsandexpensesinconnectionwiththearbitrationandthecostsandexpensesofthearbitratorsshallbeborneasdeterminedbythearbitrator.7.ForceMajeureTheeffectedpartyshallnotifytheotherpartyofthecasesofforcemajeureoccurredbytelexorcableassoonaspossibleandshallsendbyregisteredairmail,within20daysthereafter,acertificateissuedbytheauthoritiesordepartmentsconcernedtotheotherpartyforconfirmation.Shouldtheeffectoftheforcemajeurecaseslastformorethan100days,bothpartiesshallsettletheproblemoffurtherexecutionoftheContractthroughfriendlyconsultationsassoonaspossible.8.ConfidentialityExceptasexpresslysetforthherein,thepartiesshallmaintaininconfidencetheConfidentialInformationoftheotherside.ThepartiesshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherside.BothpartiesshallabidebythetermsofConfidentialityinthisContractandhaveobligationtomaintaintheConfidentialInformationaftertheterminationoftheAgreement.TheobligationshallendonlyupontheconsentoftheothersideoronlyifthedisclosureoftheConfidentialInformationwillnotcauseanylossoftheotherside.9.EffectivenessoftheContractThisContractcommencesonthedatewhenPartyAreceivesthecontractdulysignedandaffixedwiththeSubscriber’scompanychop.10.LanguagesThepresentContractisdrawninChineseandEnglishaswell,bothtextsbeingequallyauthentic.Incaseofanydivergenceofinterpretation,theChinesetextshallprevail.PartyA(Signature):PartyB(Signature):SigningDate:SigningPlace:
