论我国公司高级管理人员的忠实勤勉义务分析研究 行政管理专业

论我国公司高级管理人员的忠实勤勉义务[摘要]忠实勤勉义务是高管利益与公司发生冲突，以公司利益为优先的高管的法定义务。国外立法及司法实践表明应设立高管违反忠实勤勉义务的事前规制、职务解除和赔偿机制，细化对违反忠实勤勉义务法律责任的认定。完善我国高管忠实勤勉义务规制应着重对高管解任后的竞业禁止行为作出具体规定，明确规制主体范围，设立忠实勤勉义务判断规则，完善高管责任制度，防止高管获取非法利益。[关键词]忠实义务；勤勉义务；高级管理人员[Abstract]Faithfully diligence is the conflict between the interests of executives and the company, to the interests of the company as a legal obligation priority.
